Upside Support. Dot Hill may request all or any part of Upside Support quantity at anytime during the applicable quarter up to the maximum amount indicated beginning with Dot Hill's announcement general availability of the Dot Hill product or system that incorporates the Product(s) ("GA"). Supplier shall sell, manufacture and ship such Upside Support quantities to Dot Hill on a "first-in, first-out" basis after Dot Hill's written request. Upside Support. The terms and conditions for Upside Support are set forth in Exhibit H. Infortrend will use commercially reasonable efforts to accommodate Dot Hill requests for Products beyond the Upside Support agreed to in Exhibit H. Upon designation of a Dot Hill product that includes a Product as end of life by Dot Hill, Infortrend shall not be required to provide for Upside Support for such Product unless mutually agreed by the parties. When requested by Dot Hill, Infortrend shall use commercially reasonable efforts to sell and deliver Product(s) to Dot Hill at an accelerated delivery schedule.

Upside Support. When requested by Sun from time to time, SCM Microsystems shall use best efforts to sell and deliver to Sun Product(s) (i) in excess of the then latest forecast or (ii) at an accelerated delivery schedule (collectively "Upside Support"). The particulars of SCM Microsystems' obligation to provide Upside Support shall be set out in the Award Letter.

Supplier shall accommodate any requests from Dot Hill for delivery of Upside Support of quantities of Products in the timeframes indicated above subject, however, to the payment of an additional charge by Dot Hill to Supplier for such Upside Support. Such additional charge will be equal to [***] of Supplier’s then-current average manufacturing cost for the [***]. The parties will collectively use their best efforts to implement a vendor managed inventory (“VMI”) or hubbing program with third party suppliers of drives which are to be included in the Products. Supplier shall also use commercially reasonable efforts to implement a vendor managed inventory (“VMI”) or hubbing program with third party suppliers of power supply units and other major components which are included in Products. Upon implementation by Supplier or Dot Hill of a VMI or hubbing program with such drive, power supply unit and/or other major component suppliers, except as otherwise agreed in writing by Supplier and Dot Hill, Dot Hill [***]. Supplier shall provide to Dot Hill upon request thorough information as to quantities and costs of Products, major components and raw materials that Supplier maintains on hand to support the Upside Support requirements in this Second Award Letter.   • Maintenance Support State Street shall use commercially reasonable efforts to correct system functions that do not work according to the System Product Description as set forth on Attachment A in priority order in the next scheduled delivery release or otherwise as soon as is practicable.

  • Administrative Support Services Fees Within forty-five (45) days of the end of each calendar quarter or at such other period as deemed appropriate by the Distributor, the Fund will make payments in the aggregate amount of up to 0.25% on an annual basis of the average during the period of the aggregate net asset value of the Shares computed as of the close of each business day (the “Service Fee”). Such Service Fee payments received from the Fund will compensate the Distributor for providing administrative support services with respect to Accounts. The administrative support services in connection with Accounts may include, but shall not be limited to, the administrative support services that a Recipient may render as described in Section 3(b)(i) below.

  • Software Support During the Term, Seller shall use commercially reasonable efforts to provide all Software updates and qualified Software upgrades in accordance with the terms of the Service Contract as such materials become commercially available for distribution. State Street shall provide such additional technical support as is expressly set forth in the fee schedule in effect from time to time between the parties (the “Fee Schedule”). Technical support, including during installation and testing, is subject to the fees and other terms set forth in the Fee Schedule.

  • Customer Support If Customer is entitled to receive Customer Support as part of a separately purchased Service Plan, Sage warrants that while Customer’s Service Plan is in effect and if it has paid all required Service Plan fees, Sage will use qualified personnel to provide Customer Support in a professional manner consistent with industry standards. Customer’s sole remedy under this section 5.2 is limited to Sage’s re-performance of the Customer Support services giving rise to Customer’s claim.

  • PRODUCT SUPPORT Partners may provide support for Products and other value-added services, and Partner is responsible for the performance of any services it provides. If Customer purchases Microsoft Support Services through a Partner, Microsoft will be responsible for the performance of those services subject to the terms of this Agreement.

  • Research Support (a) Having regard to the resources reasonably available for such purposes, the Operator will cooperate with AHS to provide such participation by its Staff as may be reasonable in relation to the carrying out of research within the Province. (b) The Operator agrees to promptly notify AHS in the event that it undertakes or agrees to participate in any form of clinical trial, research project, instrument use, or similar activity which in any way relates to the Services provided under this Agreement. The Operator shall, upon request, provide AHS with written evidence of Client disclosure and consent to research.

  • Child Support (Applicable if the Party is a natural person, not a corporation or partnership.) Party states that, as of the date the Agreement is signed, he/she: a. is not under any obligation to pay child support; or b. is under such an obligation and is in good standing with respect to that obligation; or c. has agreed to a payment plan with the Vermont Office of Child Support Services and is in full compliance with that plan. Party makes this statement with regard to support owed to any and all children residing in Vermont. In addition, if the Party is a resident of Vermont, Party makes this statement with regard to support owed to any and all children residing in any other state or territory of the United States.
