Use of Award. 5.1 The Administering Institution shall use the Award only for the purpose of performing the Award Activity in accordance with the Approved Budget (including the Salary Support Package (if any)) as specified in the Award Plan. 5.2 The Administering Institution shall deposit all sums comprising or otherwise relating to the Award into a bank account controlled solely by the Administering Institution and keep proper accounts and records of its receipts and use of the Award. 5.3 The Administering Institution shall not use the Award for the purposes of expenditure on any Administrative Costs associated with the Award Activity except where use of a specified portion of the Award for Administration Costs is an expressly described component of the Approved Budget. 5.4 The Administering Institution shall only use the Award during the Award Period. 5.5 For clarity, any expenditure incurred in respect of an Award Activity that exceeds the amount of Award funding approved for that Award Activity is the sole responsibility of the Administering Institution and the Children’s Hospital Foundation will not pay or reimburse any such excess costs under any circumstances. 5.6 The Administering Institution shall only use the Award in the calendar year to which the corresponding funds have been allocated in the Approved Budget unless prior written approval to do otherwise has been obtained from the Children’s Hospital Foundation. 5.7 If the Approved Budget contains an item of equipment to the value of $10,000 or more, then the Administering Institution must purchase that item of equipment or a substantially similar item of equipment that is required for conduct of the Award Activity. If the Administering Institution is unable to purchase the equipment, it must notify the Children’s Hospital Foundation and the Children’s Hospital Foundation may in such a case elect to suspend, reduce or terminate payment of the Award or terminate the Agreement pursuant to clause 19.
Use of Award. B.4.1 The Award shall be solely used by the Recipient for the delivery of the programme/project and no other programmes/projects or initiatives. B.4.2 Any liabilities arising at the end of the programme/project including any redundancy liabilities for staff employed by the Recipient to deliver the programme/project must be managed and paid for by the Recipient. There will be no additional funding available from the Authority for this or any other purpose unless agreed under a separate agreement. B.4.3 The Award must be used to meet the commitments outlined in Section 6 of this agreement. B.4.4 Any VAT owing is payable by the Recipient.
Use of Award. Grant Sub-Recipient shall use the award, and any income earned on the award funds, for the purpose of enhancing local community-based workforces to increase COVID-19 vaccine access. Grant Sub-Recipient will manage the award funds in accordance with applicable law, this Agreement, and the Notice of Award.
Use of Award. Fellow may use Award funds only to support the Project and in any manner as Fellow sees fit for such purpose.
Use of Award. Notwithstanding any judicial allocation of any award in the Condemnation Proceedings, such award shall be paid to the Leasehold Mortgagee, or in the absence of a Leasehold Mortgagee, to Lessor and shall be held by the Leasehold Mortgagee, Lessor, or a Proceeds Trustee, as the case may be, in the manner set forth in Article 13, but shall be made available to Lessee for Restoration of the Premises and Project as required pursuant to this Section 10.2. The balance of any such award remaining after completion of the Restoration shall be divided between Lessor and Lessee as provided in the next two sentences. Lessee shall be entitled to an amount equal to the award given in the Condemnation Proceedings (less amounts applied to Restoration) multiplied by a fraction, the numerator of which is the number of Lease Years between the Lease Year in which the award in any Condemnation Proceeding is made and the then remaining number of Lease Years in the Term (rounded to the nearest number of years) and the denominator of which is sixty.
Use of Award. Pool • 60% of the Award Pool (i.e., 7.5% of the fully diluted shares) will be granted to the Chief Executive Officer upon the Reorganization Effective Date as “Emergence Awards,” of which: • 50% of the Emergence Awards will be time-based restricted stock units (“Time-based RSUs”). • 50% of the Emergence Awards will be performance-based restricted stock units (“Performance-based RSUs”). • The remaining 40% of the Award Pool (i.e., 5% of the fully diluted shares) will be reserved for future grants to key employees other than the CEO, which grantees and the terms and conditions of the awards thereto to be determined by the Compensation Committee from time to time.
