Use of Delegates. The Custodian will have the right, without prior notice to or the consent of the Client, to employ Delegates to provide or assist it in the provision of any part of the Services other than Services required by Law applicable to either Party to be performed by a qualified custodian or CSD. Unless otherwise agreed in a fee schedule, the Custodian will be responsible for the compensation of its Delegates.
Use of Delegates. The Transfer Agent has the right, without prior notice to or the consent of the Trust, to employ Delegates to provide or assist it in the provision of all or any part of the Services. Unless otherwise agreed in a fee schedule, the Transfer Agent will be responsible for the compensation of its Delegates. Where required, such Delegate shall be a duly registered transfer agent pursuant to Section 17A(c)(2) of the 1934 Act.
Use of Delegates. The Administrator has the right, without prior notice to or the consent of the Trust, to employ Delegates to provide or assist it in the provision of all or any part of the Services. Unless otherwise agreed in a fee schedule, the Administrator will be responsible for the compensation of its Delegates.
Use of Delegates. The Custodian will have the right, without prior notice to or the consent of the Fund, to employ agents, subcontractors, consultants and other third party, whether affiliated or unaffiliated (each a “Delegate” and collectively, the “Delegates”), to provide or assist it in the provision of any part of the services other than services required by law applicable to either party to be performed by a qualified custodian or central securities depository. Unless otherwise agreed in a fee schedule, the Custodian will be responsible for the compensation of its Delegates.
Use of Delegates. Adviser acknowledges that Sub-Adviser may delegate certain operational and administrative functions to third parties in support of the services contemplated herein. Sub-Adviser acknowledges that it shall be responsible for the actions of any such delegate to the same extent that it would be liable to Great-West Funds or the Adviser under the terms of this Agreement.

State Street will have the right, without prior notice to or the consent of the Client, to employ Delegates to provide or assist it in the provision of any part of the Services other than Services required by Law applicable to either Party to be performed by a qualified custodian or CSD or by the administrator of a fund. Unless Information Classification: Limited Access otherwise agreed in a fee schedule, State Street will be responsible for the compensation of its Delegates.
