Use of Deliverables. The Client agrees to use the deliverables provided by GLO exclusively for the purpose they were intended and not to repurpose, distribute, or sell them without GLO's explicit consent. By complying with the obligations outlined in this section, the Client aids in ensuring the seamless execution of the contracted services. Non-compliance may result in delays, additional costs, or termination of the contract.
Use of Deliverables. Unless otherwise provided in writing, the PROVIDER shall be deemed the author of and shall retain all common law, statutory and other reserve rights, including the copyright of any drawings, specifications, proprietary programming, data solutions and other documents prepared by PROVIDER for use solely with respect to this Contract. The CLIENT shall be permitted to retain copies during the contract period of the firm’s drawings, specifications, proprietary programming, data solutions and other documents for information and reference in connection with the CLIENT’S use of the information for the contract subject to paragraph 7.9 below. The PROVIDER’S drawings, specifications or other Deliverables shall not be used by the CLIENT or others on other contracts, for additional work on this Contract, or for completion of this Contract by others, unless the PROVIDER is adjudged to be in default under this Agreement, except by agreement in writing and with appropriate compensation to the PROVIDER.
Use of Deliverables. All deliverables prepared or obtained under the terms of this Agreement shall be delivered to and become the property of SANDAG. The term “deliverables” includes, but is not limited to, all original drawings, reports, and other documents, including detailed calculations, digital/electronic databases, source code, videos, imagery, data sets, analyses, maps, and other work products developed for the Project. Deliverables must be provided to SANDAG in the format requested by SANDAG and include metadata. SANDAG shall have the right to remove Consultant’s and subsconsultant’s logos from all deliverables. Should Consultant provide a slide deck, report or other presentation items or deliverables to SANDAG that include logos or other identifying marks, Consultant shall provide the deliverables in editable form to allow SANDAG the ability to remove such marks. All deliverables provided to SANDAG must be free of photos, data or other items that are subject to copyrights or other ownership interests that would limit SANDAG’s ability to reuse and disseminate any portion of the deliverable.
Use of Deliverables. The Deliverables and any other advice the Supplier provide to the Buyer are for the Buyer’s exclusive use and should be used solely for the purpose described in the Order Form. They must not be used for any other purpose, recited or referred to in any document, copied or made available (in whole or in part) to any other person without the Supplier’sprior written express consent. The Buyer acknowledges that if the Buyer does so (and without limitation) this could expose the Supplier to a risk that a third party who otherwise would not have access to the Deliverable might claim to have relied upon the Deliverable to its detriment and might bring or threaten to bring an action, claim or proceedings against the Supplier.
Use of Deliverables. The Department has the right to use or not use the Deliverables and to use, reproduce, reuse, alter, modify, edit, or change the Deliverables as it sees fit and for any purpose. However, any such reuse, alteration, modification, edit, or change shall be without any warranty or representation by Consultant as to suitability of such documents and at the Department’s own risk and liability. If the Department determines that a Deliverable, or any part thereof, requires correction prior to Department approval, the Department has the absolute right to use the Deliverable until such time as the Consultant can remedy the identified deficiency.
Use of Deliverables. 2.1 ARRI shall deliver the Deliverables to PARTNER, free of charge, by electronic means if possible, as soon as reasonably practical following the full execution of this Agreement (which shall be no later than five business days thereafter). For the avoidance of doubt, Updates shall be delivered to PARTNER, free of charge, by electronic mean if possible, whenever ARRI makes such Updates generally available.
2.2 Provided PARTNER complies with all the terms and conditions of this Agreement, PARTNER may use the Deliverables during the Term only as necessary in furtherance of the Purpose. ARRI grants to the PARTNER a non-exclusive, non-transferable, royalty-free, revocable (only as explicitly permitted in Section 5.2 herein) and fully paid up licence to use ARRI data formats incorporated in the Deliverables, but only as necessary in furtherance of the Purpose. The Deliverables may not be used by PARTNER for any other purpose, especially not to manufacture or sale sell stand-alone products which implements information or technologies incorporateds in the Deliverables. No rights are granted by XXXX to the Deliverables except as expressly granted herein. For the avoidance of doubt, XXXX acknowledges and agrees that PARTNER can use the Licensed Products to provide services to, and receive services from, third parties.
2.3 ARRI retains all title, copyright and other proprietary rights in and to the Deliverables including any and all modifications, enhancements and alterations theretoto the Deliverables themselves, and all copies thereof; provided, however for the avoidance of doubt that XXXX has no intellectual property rights to the Licensed Product except to the extent the Deliverables are directly incorporated therein.
Use of Deliverables. The LADWP has the right to use or not use the deliverables and to use, reproduce, re-use, alter, modify, edit, or change the deliverables as it sees fit and for any purpose. If the LADWP determines that a deliverable, or any part thereof, requires correction prior to the LADWP approval, the LADWP has the absolute right to use the deliverable until such time as the Consultant can remedy the identified deficiency. Any modification or reuse of deliverables without written verification or adaptation by Consultant for the specific purpose intended will be at the LADWP's sole risk and without liability or legal exposure to Consultant or to Consultant's subcontractors and subconsultants.
Use of Deliverables. (a) The Service Provider acknowledges and agrees that the Principal may suffer or incur costs, expenses, loss or liability in the event that the Deliverables are not in accordance with the requirements of this Deed, including as a result of a claim referred to in clause 4.5(b)(i).
(b) The Service Provider acknowledges and agrees that the Principal may provide Deliverables to third parties including Authorities, Other Contractors and prospective tenderers for works, goods and/or services in relation to the Project (Recipients) and, where it does so, the Principal:
(i) may provide the Deliverables (For Use) to Recipients for their use, including as part of a contract for works, goods and/or services in relation to a project, in which event such Recipients may be entitled to claim against the Principal if the Deliverables are inaccurate, inadequate, unsuitable or incomplete; and
(ii) may provide Deliverables (For Information) to Recipients for information purposes and without giving any warranty, making any representation about, or providing any entitlement in relation to the accuracy, adequacy, suitability or completeness of the Deliverables (For Information).
(c) The Service Provider acknowledges that the Principal has entered into this Deed in reliance upon the acknowledgments and agreements in this clause 4.5.
Use of Deliverables. 2.1 The Local Government intends to use the Deliverables internally to support building permit applications, municipal planning, by-law enforcement, municipal services billing, fire prevention, and police investigations.
