Use of Electronic Files. 9.1.8.1 The Owner, Contracting Authority, A/E, and Contractor reasonably expect that they will provide Electronic Files to each other to facilitate the design and construction of the Project consistent with current practices and customs in the construction industry.
9.1.8.2 The Owner, Contracting Authority, A/E, and Contractor acknowledge that the use of Electronic Files involves risks not generally associated with the use of paper documents. Those risks include alteration (inadvertent or intentional) and deterioration, which may not be readily apparent through casual observation.

As a convenience to the Contractor, the Construction Manager may provide electronic files, including drawings, specification sections, and other documents, in electronic format to assist the Contractor in preparing shop drawings and other submittals required for the Work and for preparing as- built or record drawings. If so provided, such electronic files shall be used only as a supplement to previously issued paper Contract Documents. The furnishing of electronic files does not relieve the Contractor of its obligation to fully comply with the Contract Documents, including and without limitation, the need to check, confirm and coordinate all dimensions and details, take field measurements, verify field conditions and coordinate the Work with that of other trades. The use of electronic files may also include use of Building Information Modeling software and related technologies ("BIM"). The Contractor shall participate in the use of BIM for the Work and the Project as requested and/or directed by the Construction Manager, and, in addition, to the full extent as may be required under the Contract Documents. The Contractor shall fully comply with and is bound by all requirements and terms and conditions of the Contract Documents related to BIM. Any use of BIM shall in no event and in no way, however, otherwise alter, change, limit, diminish or excuse the Contractor's duties and obligations under the Agreement or the Contract Documents. 3(c). By providing electronic files, the Construction Manager does not convey any license or right, including copyright, in the original documents, or any right to prepare derivative works.

9.1.8.4 Before relying on any Electronic File it receives, the recipient is responsible for verifying that the Electronic File was not altered though transmission, degradation of the recipient’s own storage media, or other causes.
9.1.8.5 If the recipient of an Electronic File converts/translates the Electronic File from its original system or format to an alternate system or format, the recipient assumes the risk that the conversion/translation created errors in the converted/translated file.

9.1.8.2 Before relying on any Electronic File it receives, the recipient is responsible for verifying that the Electronic File was not altered though transmission, degradation of the recipient’s own storage media, or other causes.
9.1.8.3 In the event of a discrepancy between information contained in a paper version of a document and the Electronic File of that document, the paper version will govern.
9.1.8.4 This Section 9.1.8 does not relieve the Consultant of its responsibility for the preparation, completeness, or accuracy of the Consultant’s Documents.

The CONTRACTOR may provide any part or all of the Contract Documents either on paper or as electronic files, including drawings, specification sections, and other documents, in electronic format to assist the SUBCONTRACTOR in preparing shop drawings and other submittals required for the Work and for preparing as-built or record drawings. Regardless of the medium and format, the most current version of any Contract Document shall govern. The furnishing of electronic files does not relieve the SUBCONTRACTOR of its obligation to fully comply with the Contract Documents, including and without limitation, the need to check, confirm and coordinate all dimensions and details, take field measurements, verify field conditions and coordinate the SUBCONTRACTOR’s Work with that of other trades. By providing electronic files, the CONTRACTOR does not convey any license or right, including copyright, in the original documents, or any right to prepare derivative works.

9.1.8.7 In the event of a discrepancy between information contained in a paper version of a document and the Electronic File of that document, the paper version will govern.
9.1.8.8 This Section 9.1.8 does not relieve the A/E of its responsibility for the preparation, completeness, or accuracy of the A/E’s Documents.
Use of Electronic Files. Example language: It is expressly understood that CAD and BIM files (“Digital Data files”) are issued only as supplemental information for convenience to the owner, contractor, or other authorized user. Digital Data files, like any electronic data, transferred in any manner or translated from the system and format used by the design professionals on this Project (“Design Team”) to another system or format are subject to errors and modifications that may affect the accuracy and reliability of the data, and, in addition, that electronic data may be altered or corrupted whether inadvertently or otherwise. As a result, no representations or warranties, whether expressed or implied, as to the accuracy of the Digital Data files transferred are made herein. As the accuracy of the Digital Data files cannot be warranted or guaranteed, it is issued as supplemental information only and must be read in conjunction the contract documents, and to the extent there are any discrepancies Example language: Digital Data files provided by the Design Team under the terms of this Agreement are the proprietary information and property of the Design Team, who shall maintain all copyright and intellectual property rights in the Digital Data files. All Digital Data files shall be treated as confidential and are not to be disclosed to or shared with others without the Design Team’s written consent. The use of the Digital Data files for any purpose other than for supplemental information for convenience in the bidding and building process is prohibited.

The cost, if any, for the use of such files, shall be incurred the by the Subcontractor.
