WAIVER OF COMPENSATION. 21.1 Licensee hereby expressly waives any and all claims for compensation for any and all loss or damage sustained by reason of any defects, including, but not limited to, deficiency or impairment of the water supply system, gas mains, electrical apparatus or wires furnished for the Licensed Premises, or by reason of any loss of any gas supply, water supply, heat or current which may occur from time to time, or for any loss resulting from fire, water, windstorm, tornado, explosion, civil commotion, strike or riot, and Licensee hereby expressly releases and discharges Commissioner, Commissioner’s agents, and City from any and all demands, claims, actions, and causes of action arising from any of the causes aforesaid.
WAIVER OF COMPENSATION. The Tenant hereby waives and renounces any and all existing and future claims, offsets and compensation against any Minimum Net Net Rental or Additional Rental due hereunder and agrees to pay such Minimum Net Net Rental and Additional Rental on their respective due dates, regardless of any claim, offset or compensation which may be asserted by the Tenant or on its behalf, except to the extent permitted hereunder.
WAIVER OF COMPENSATION. 24.1 Licensee hereby expressly waives any and all claims for compensation from the Commissioner, his or her agents, and the City for any and all loss or damage sustained by reason of any defects, including, but not limited to, deficiency or impairment of the water supply system, gas mains, electrical apparatus or wires furnished for the Licensed Premises, or by reason of any loss of any gas supply, water supply, heat or current which may occur from time to time, or for any loss resulting from fire, water, windstorm, tornado, explosion, civil commotion, strike or riot, and Licensee hereby expressly releases and discharges Commissioner, Commissioner’s agents, and City from any and all demands, claims, actions, and causes of action arising from any of the causes aforesaid except to the extent any of the foregoing arise from the gross negligence or willful misconduct of the City or any officer, official, employee or contractor thereof.
WAIVER OF COMPENSATION. Employee hereby waives (but does not accrue) the Compensation until the Triggering Event as described in 2(c) below (the “Waiver Period”). In place of the Compensation, the Company will issue a Common Stock Purchase Warrant (the “Warrant Agreement”), a copy of which is attached hereto as Exhibit A. Under the Warrant Agreement, Employee will receive a maximum of One Hundred Five Thousand (105,000) warrants to purchase common stock of the Company as provided for in the Warrant Agreement.
WAIVER OF COMPENSATION. The Borrower waives in advance the right to set-off its obligations with its potential claims against UBS and/or potential assignee of the rights set forth in this Agreement, even if the potential claim that the Borrower wishes to set-off cannot be recovered because of insolvency or over-indebtedness.
WAIVER OF COMPENSATION. (a) Licensee hereby expressly waives any and all claims for compensation for any and all loss or damage sustained by reason of any defects, including, but not limited to, deficiency or impairment of the water supply system, gas mains, electrical apparatus or wires furnished for the Licensed Premises, or by reason of any loss of any gas supply, water supply, heat or current which may occur from time to time from any cause, or for any loss resulting from fire, water, windstorm, tornado, explosion, civil commotion, strike or riot, and Licensee hereby expressly releases and discharges Commissioner, his agents, and City and its agents from any and all demands, claims, actions and causes of action arising from any of the causes aforesaid.
WAIVER OF COMPENSATION. 21.1 Licensee hereby expressly waives any and all claims for compensation for any and all loss or damage sustained by reason of any defects, including, but not limited to, deficiency or impairment of the water supply system, gas mains, electrical apparatus or wires furnished for the Licensed Premises, or by reason of any loss of any gas supply, water supply, heat or current which may occur from time to time, or for any loss resulting from fire, water, windstorm, tornado, explosion, civil commotion, strike or riot, and Licensee hereby expressly releases and discharges Commissioner, Commissioner’s agents, and City from any and all demands, claims, actions, and causes of action arising from any of the causes aforesaid.
21.2 Licensee further expressly waives any and all claims for compensation, loss of profit, or refund of its investment, if any, or any other payment whatsoever, in the event this License is terminated by Commissioner sooner than the fixed term because the Licensed Premises are required for any park or other public purpose, or because the License was terminated or revoked for any reason as provided herein.
WAIVER OF COMPENSATION. 21.1 Licensee hereby expressly waives any and all claims for compensation for any and all loss or damage sustained by reason of any defects, including, but not limited to, deficiency or impairment of the water supply system, gas mains, electrical apparatus or wires furnished for the Licensed Premises, or by reason of any loss of any gas supply, water supply, heat or current which may occur from time to time on account of any such defects, or for any loss resulting from fire, water, windstorm, tornado, explosion, civil commotion, strike or riot relating to either a defect or an Act of God, and Licensee hereby expressly releases and discharges RIPA, Commissioner, Commissioner’s agents, and City from any and all demands, claims, actions, and causes of action arising from any of the causes aforesaid.
WAIVER OF COMPENSATION. 21.1 Licensee hereby expressly waives any and all claims for compensation for any and all loss or damage sustained by reason of any defects, including, but not limited to, deficiency or impairment of the water supply system, gas mains, electrical apparatus or wires furnished for the Licensed Premises, or by reason of any loss of any gas supply, water supply, heat or current which may occur from time to time, or for any loss resulting from fire, water, windstorm, tornado, explosion, civil commotion, strike or riot, and Licensee hereby expressly releases and discharges Commissioner, Commissioner’s agents, and City from any and all demands, claims, actions, and causes of action arising from any of the causes aforesaid. Notwithstanding the foregoing, if Licensee’s ability to make use of the Licensed Premises in accordance with the terms of this License Agreement is interrupted by an act of the Commissioner or the City (or any official, employee or agent thereof), Parks may suspend operations under the License during such interruption.
