Warranties and Related Remedies. 8.1 Subject to clauses 8.2, 8.3, 8.4 and 8.5, A&A MACHINE AND FABRICATION, LLC warrants “materials and workmanship” and we warrant that A&A MACHINE AND FABRICATION, LLC products will conform either to A&A MACHINE AND FABRICATION, LLC's published specifications for such product or other mutually agreed upon written specifications signed by an authorized A&A MACHINE AND FABRICATION, LLC representative. For finished products, this warranty lasts for (12) twelve months after the date the product is first installed or put into use, or (18) eighteen months after A&A MACHINE AND FABRICATION, LLC ships such products to Buyer, whichever occurs first. Notwithstanding the foregoing, A&A MACHINE AND FABRICATION, LLC shall not be liable for any defects that are caused by neglect, misuse or mistreatment by an entity other than A&A MACHINE AND FABRICATION, LLC, including improper installation or testing, or for any products that have been altered or modified in any way by an entity other than A&A MACHINE AND FABRICATION, LLC. Moreover, A&A MACHINE AND FABRICATION, LLC shall not be liable for any defects that result from Buyer's design, specifications or instructions for such products.

Warranties and Related Remedies. 9.1 Subject to Section 10 and Sections 9.2 through 9.4 below, OSL warrants to Buyer that each Product conforms to OSL’s published Specifications for such Product. Warranties and Related Remedies. SMARTX warrants that (i) each Reader, Antenna and other hardware components excluding Tags (together, “Hardware”) will be free from defects in materials and workmanship for a period of one (1) year after transfer of title (the “Hardware Warranty Term”), (ii) each Tag (including ICs, Straps, Inlays, and Labels) will be free from defects in materials and workmanship for a single use for a period of one hundred eighty (180) days after transfer of title (the “Tag Warranty Term”) and (iii) the media (the “Software Media”) which contain the Software will be free from defects in materials and workmanship for a period of ninety (90) days after transfer of title (the “Software Media Warranty Term” and, together with the Hardware Warranty Term and the Tag Warranty Term, the “Warranty Term”) provided with respect to (i), (ii) and (iii) that such defect does not arise from (a) abuse, misuse, neglect, vandalism or accident, (b) modification or repair of the Product by personnel not certified by SMARTX to perform such modification or repair, or (c) use of the Product outside of the environmental specifications set forth in published product Specifications, manuals or other documentation. Product problems attributable to the use of Products with equipment or software not supplied by SMARTX are not covered under warranty. The limited warranty for the Software Media set forth above does not apply to the Software itself, which is provided “AS IS.” Services are provided “AS IS,” without warranty of any kind. EXPRESS WARRANTIES CONTATINED IN THIS SECTION 5 ARE IN LIEU OF ALL OTHER WARRANTIES WITH RESPECT TO PRODUCTS OR SERVICES, AND SMARTX DISCLAIMS, AND BUYER HEREBY WAIVES, ANY AND ALL OTHER EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE OR TRADE PRACTICE, EXCEPT TO THE EXTENT THAT SUCH DISCLAIMERS ARE HELD TO BE LEGALLY INVALID.   • Warranties and Remedies The Supplier warrants that for a period of 12 months after acceptance of the Goods: a) the Goods are of good quality and free from defects in design and workmanship, b) the Goods are manufactured with only new and unused materials; c) the Goods correspond exactly with the requirements of the Agreement and the reasonable expectations of Sioux regarding the characteristics, quality and reliability of the Goods. In the event of a breach of warranty the Supplier shall, during the warranty period, repair or replace, at Sioux’ discretion, the defective Goods free of charge. Sioux shall notify the Supplier of a warranty issue as soon as possible, and at least within 14 calendar days of discovery of the defect, in writing. Goods repaired or replaced within the warranty period, assume the remainder of the original warranty period, or are warranted for a 6 months period, whichever period is longer. Defects caused by unauthorized modifications, use or improper installation of the Goods by, or on behalf of Sioux shall not be considered a breach of warranty. The Supplier warrants that it performs Services using the duty of care as set out in article 3 and according to the description (including any completion criteria) stated in the PO. The remedy for breach of the warranty for Services shall be re-performance by the Supplier, without charge, of the defective part of the Services. The Supplier warrants it shall comply with all privacy and data protection laws and regulations applicable to its Services or Goods.
