Warranties and Warranty Claims. Other than as set forth in the Outbound Technology Agreements and except for indemnification obligations set forth in certain of the Assigned Contracts, Seller has not made any written or other binding warranty or representation with respect to any of the Assigned Intellectual Property, or any product that embodies or utilizes any of it.

Warranties and Warranty Claims. 11.1 The Company warrants that the Products will be of acceptable quality as defined under the Competition and Consumer Xxx 0000 (Cth). 11.2 The Company also warrants that the Products will be supplied in an undamaged condition. 11.3 These warranties extend only to the Customer and to no other person. 11.4 Except for any guarantees imposed by the Competition and Consumer Xxx 0000 (Cth) and the warranties stated in clauses 11.1 and 11.2, the provision of any other act or law implying terms, conditions, guarantees and/or warranties which might otherwise apply to or arise out of the Contract are hereby expressly negatived and excluded to the full extent permitted by law. 11.5 On discovery of any defect in the Products, the Customer must notify the Company in writing of such defect. All warranty claims must be received by the Company within seven (7) days of the date of delivery. 11.6 The Customer’s failure to provide written notice to the Company of any alleged breach of warranty within the required time will release and discharge the Company from any obligation or liability for that breach of warranty. 11.7 The Customer must not carry out any remedial work to allegedly defective Products without first obtaining the written consent of the Company to do so, otherwise all of the Company’s warranties will be voided to the full extent permitted by law.

Warranties and Warranty Claims. Schedule 3.21 lists and accurately summarizes all product warranties made by or on behalf of Seller which deviate from the applicable vendor or manufacturer warranties (except for deviations which only extend the applicable vendor or manufacturer warranty by not more than 90 days) with respect to sales of products to the twenty largest customers of the Business during the twelve months ended March 28, 1999 in terms of net product revenues.

In light of Parent's limited due diligence as of the date hereof, notwithstanding any disclosure on SCHEDULE 2-28, Parent shall have, and reserves the right to conduct further due diligence on any such disclosed matter and based upon such diligence at any time prior to May 26, 1998 determine not to proceed with the Closing hereof in its sole discretion and to terminate this Agreement, and each of the parties shall be released from any and all obligations hereunder (except for Section 5.8 and Article IX which shall survive according to their terms).
