PRICE AND PAYMENT. A. License fees have been agreed upon by EBSCO and the Licensee, and include all retrospective issues of the Product(s) as well as updates furnished during the term of this Agreement. The Licensee's obligations of payment shall be to EBSCO or its assignee. Payments are due upon receipt of invoice(s) and will be deemed delinquent if not received within thirty (30) days. Delinquent invoices are subject to interest charges of 12% per annum on the unpaid balance (or the maximum rate allowed by law if such rate is less than 12%). The Licensee will be liable for all costs of collection. Failure or delay in rendering payments due EBSCO under this Agreement will, at EBSCO's option, constitute material breach of this Agreement. If changes are made resulting in amendments to the listing of authorized Sites, Databases, Services and pricing identified in this Agreement, pro rata adjustments of the contracted price will be calculated by EBSCO and invoiced to the Licensee and/or Sites accordingly as of the date of any such changes. Payment will be due upon receipt of any additional pro rata invoices and will be deemed delinquent if not received within thirty (30) days of the invoice dates.
PRICE AND PAYMENT. 4.1 The prices of the Products as well as the possible Financial Benefit, if any, are set out in Schedule 2. 4.2 Without prejudice to any other right or remedy of Amgen (or any Amgen Group member), if Buyer is in arrears with any payment due to Amgen, or Buyer is or shall be unable to pay its debts as they fall due, then Amgen may elect not to deliver the Products and/or Amgen may suspend further deliveries under any unfilled purchase orders until payment in full of the amounts owing by Xxxxx is received. All monies owing to Amgen from Buyer shall become immediately due and payable.

Payment of the invoiced amounts shall be made by Buyer in cleared funds within thirty (30) days following receipt of the invoice by Xxxxx. Payment shall be made by bank wire or electronic transfer (same day funds) pursuant to instructions to be provided by Amgen. 4.4 The price shall be paid in full, free of any restriction or condition, without set-off or counterclaim and free and clear of and without any deduction or withholding related to any tax. If Buyer or any other person or entity is required by law or regulation to make any deduction or withholding from any payment for the account of Amgen, Buyer shall together with such payment pay an additional amount so that Amgen receives free and clear of any tax, the full amount which it would have received if no such deduction or withholding had been required. Buyer shall promptly forward to Amgen copies of official receipts or other evidence showing that the full amount of any such deduction or withholding that has been paid over to the relevant taxation or other authority. 4.5 Upon the failure to timely make any payment when due hereunder, default interest shall accrue and be paid by Xxxxx on the entire unpaid balance from the time it is due until the time it is actually paid, based on the repo rate applied by the Czech National Bank plus 8 % per annum on the basis of a 360-day year and the number of days actually elapsed. In addition the reimbursement of all costs incurred by Amgen or any Amgen Group member due to late payment shall be paid, provided, however, that such amount shall not exceed the maximum amount permitted by applicable law. 4.6

PRICE AND PAYMENT. 3.1 The price payable for the Goods shall be as stated on the Purchase Order and shall be fixed and firm for the duration of the Purchase Order and shall be inclusive of all charges including packaging, carriage, insurance, delivery and exclusive of Value Added tax at the appropriate rate and all applicable taxes that may arise in connection with the Purchase Order.

The prices are shown in Czech Koruna (CZK) with all taxes and delivery costs separately itemised and included in the total cost. Payment is limited to the following payment methods: Visa, MasterCard and Wire transfer.

PRICE AND PAYMENT. 3.1 The Client shall pay the Fees together with any Taxes/VAT applicable thereon in accordance with the payment terms stated in the Package Summary. In the absence of any other payment terms in the Package Summary, the Client shall pay the Fees together with any Taxes/VAT upon receipt of invoice. Time shall be of the essence in respect of the payment of Fees.
