Affiliate Guarantees definition

Affiliate Guarantees means the collective reference to each guarantee agreement executed and delivered by an Affiliate Guarantor, substantially in the form of Exhibit F, as the same may be amended, supplemented or otherwise modified from time to time.

Affiliate Guarantees means the guarantees given by the Seller or its Affiliates (other than the Company and its Subsidiaries) in respect of the Business which have been notified to the Purchaser by the Seller in writing at least 30 days prior to Closing.

Affiliate Guarantees means any Contract or other obligation whereby the Partnership or any of its Subsidiaries provides a guarantee or indemnity with respect to any obligations of Summit, Fly or any of their respective Affiliates (other than the Partnership and its Subsidiaries).

Examples of Affiliate Guarantees in a sentence

• At the Closing on the Closing Date, Sellers shall deliver to Purchaser written evidence of the termination of any Affiliate Guarantees and any liens or security interests securing such Affiliate Guarantees.

• This Agreement, the Notes, the Affiliate Guarantees, any Subsidiary Guarantees, the Security Documents and all agreements entered into pursuant to Section 5.10, together with any agreements, instruments or documents now or hereafter executed and delivered pursuant to or in connection with any of the foregoing.

• None of the Group Entities has any Indebtedness (other than Permitted Affiliate Guarantees) in excess of $50,000.

• Affiliate Guarantees In connection with the Company’s memberships in central clearing organizations, the Company acts in the capacity of “sponsor” to two affiliates that wish to clear transactions through the central counterparty where the Company has a membership.

• Affiliate Guarantees In connection with the Company’s membership in LCH, the Company acts in the capacity of “SwapClear Dealer Clearing Member” to affiliates that wish to clear transactions through LCH.

More Definitions of Affiliate Guarantees

Affiliate Guarantees has the meaning assigned such term in the Indenture.

Affiliate Guarantees means: (i) the Initial Affiliate Guarantees; and (ii) any guarantees required to be delivered by certain Supplier Group Entities pursuant to Section 7.13 and any other guarantees subsequently required to be delivered by certain other persons pursuant to this Agreement, which guarantees shall be in favour of Wheaton, shall be substantially in the form of the Initial Affiliate Guarantees and otherwise in form and substance satisfactory to Wheaton, acting reasonably, and shall guarantee the payment and (where the Supplier Group Entity or other person delivering such guarantee is the Project Owner or directly or indirectly controls the Project Owner) the performance, when due, of all of the PMPA Obligations.

Affiliate Guarantees has the meaning ascribed to it in Section 1.05.

Affiliate Guarantees as defined in Section 5.11. "Affiliate Guarantor"—a guarantor under any of the Affiliate Guarantees that is identified on Schedule 5.11. "Appurtenances"—any and all privileges, rights, easements, hereditaments and appurtenances belonging to or for the benefit of the Real Property, including all easements appurtenant to and for the benefit of any Real Property (a "Dominant Parcel") for, and as the primary means of access between, the Dominant Parcel and a public way, or for any other use upon which lawful use of the Dominant Parcel for the purposes for which it is presently being used is necessary or appropriate, and any and all rights existing in and to any streets, alleys, passages and other rights-of-way included thereon or adjacent thereto (before or after vacation thereof) and vaults beneath any such streets.
