Agency Materials definition

Agency Materials means those Materials specifically created by the Agency for the purposes of a Campaign (including any Materials adapted, modified or derived from the Client Materials), incorporated into Deliverables during the Term but specifically excluding the Agency Proprietary Materials;
Agency Materials means those Materials specifically created by the Agency for the purposes of a SoW by officers, employees or freelancers (including any Materials adapted, modified or derived from the Client Materials). “Agency Proprietary Materials” means software (including all programming code in object and source code form), methodology, know-how and processes and Materials in relation to which the Intellectual Property Rights are owned by (or licensed to) the Agency and which are (i) in existence prior to the date on which it is intended to use them for a SoW, or (ii) created by or for the Agency outside of a SoW and which are intended to be reused across its business.

Examples of Agency Materials in a sentence

  • Subject to the Agency receiving payment of all Fees, Expenses and Third Party Costs attributable to the Services, the Agency may grant to the Client a non-exclusive, non-transferable, irrevocable, worldwide and perpetual licence to use such Agency Proprietary Materials and Agency Materials as are included in the Deliverables in the Territory.

  • The Client acknowledges that all Intellectual Property Rights in the Agency Proprietary Materials and Agency Materials shall be owned by and remain the property of and vested in the Agency.

  • To the extent permitted by law the Agency shall ensure that all Moral Rights in the Agency Materials included in the Deliverables are waived (or where not lawfully possible to waive Moral Rights, the Agency agrees not to assert any Moral Rights in respect of the Agency Materials).

  • During the Term, the Agency grants the Client a non-exclusive, royalty-free, non-transferable licence to use the Agency Materials solely for the Accounts under this Agreement.

Agency Materials. Those Materials specifically created by any officers, employees, sub-contractors or freelancers of the Agency for the purposes of a Project, whether or not these materials are incorporated into Deliverables during the Term. (Includes any Materials adapted, modified or derived from the Client Materials).
Agency Materials means materials, systems and other resources that Agency provides to TT in connection with Optional Technical Services.
Agency Materials means Agency’s pre-existing or preparatory materials created by Agency including but not limited to ideas, sketches, initial copy, concepts, proof of concepts, artwork and type, proprietary information, data, technology, methods and methodologies, software code, documentation, tools, software and interfaces, trade secrets, works of authorship, intellectual property, and other proprietary materials, and all other information, inventions, materials, data, software, hardware, technology, trademarks and works of authorship, (collectively "Agency Materials") whether protected by Intellectual Property Rights held by Agency or not, or used by Agency in the performance of the Services. The definition of Agency Materials does not include Third-Party Materials, except to the extent that Agency Materials exist in such Third-Party Materials.
Agency Materials means materials owned by Agency or Agency Affiliates prior to the date of this Agreement or developed or created or acquired by or on behalf of Agency or Agency Affiliates, and the derivatives of such materials.
Agency Materials has the meaning set out in clause 5.1(g). Services: the services, including the Deliverables, supplied by R. Agency to the Customer as set out in the Letter.

Agency Materials means all Agency Apparel, software, documentation and other materials owned by or produced for any Agency and made available by or on behalf of an Agency to the MSP for the purposes of the performance by the MSP of its obligations under this agreement. Agency Personnel means employees, officers, contractors or subcontractors of each Agency.
