Buyer Employee Benefit Plan definition

Buyer Employee Benefit Plan means any Employee Benefit Plan (a) in which any Buyer Related Employee has any present or future rights to benefits; (b) that is maintained by, sponsored by or contributed to or obligated to be contributed to by any of the Buyer Group Entities; or (c) with respect to which any of the Buyer Group Entities has any obligation or liability, whether secondary, contingent or otherwise, in each case, regardless of whether such other plan, program, policy, agreement or arrangement is subject to any of the provisions of ERISA.
Buyer Employee Benefit Plan means any plan, program, policy, practice, agreement or other arrangement providing compensation or benefits in any form to any current or former employee, independent contractor, officer or director of Buyer or any of the Buyer Subsidiaries or any beneficiary or dependent thereof, whether written or unwritten, formal or informal, including without limitation any “employee welfare benefit plan” within the meaning of Section 3(1) of ERISA (“Buyer Employee Welfare Benefit Plan”), any “employee pension benefit plan” within the meaning of Section 3(2) of ERISA (whether or not such plan is subject to ERISA) (“Buyer Employee Pension Benefit Plan”) and any other pension, profit-sharing, bonus, incentive compensation, deferred compensation, vacation, sick pay, stock purchase, stock option, phantom equity, severance, employment, consulting, unemployment, hospitalization or other medical, life, or other insurance, long- or short-term disability, change of control, fringe benefit, or any other plan, program or policy.
Buyer Employee Benefit Plan means any plan, program, policy, practice, contract, agreement or other arrangement providing for compensation, severance, termination pay, deferred compensation, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written, unwritten or otherwise, funded or unfunded, without limitation, each "employee benefit plan," within the meaning of Section 3(3) of ERISA (whether or not ERISA is applicable to such plan), that is or has been maintained, contributed to, or required to be contributed to, by the Buyer, any ERISA Affiliate or any predecessor entity of Buyer for the benefit of any employee of the Buyer of any ERISA Affiliate, or with respect to which Buyer or any ERISA Affiliate has or may have any liability or obligation.

For purposes of this Agreement, "Buyer ERISA Affiliate" means any entity which is a member of (i) a controlled group of corporations (as defined in Section 414(b) of the Code), (ii) a group of trades or businesses under common control (as defined in Section 414(c) of the Code), or (iii) an affiliated service group (as defined under Section 414(m) of the Code or the regulations under Section 414(o) of the Code), any of which includes Buyer. Complete and accurate copies of (i) all Buyer Employee Benefit Plans which have been reduced to writing, (ii) written summaries, if any, of all unwritten Buyer Employee Benefit Plans, (iii) all related trust agreements, insurance contracts and summary plan descriptions, if any, and (iv) all annual reports filed, if any, on IRS Form 5500, 5500C or 5500R since the Buyer's inception and the inception of any of its subsidiaries for each Buyer Employee Benefit Plan, have been delivered to the Company. Each Buyer Employee Benefit Plan has been administered in all material respects in accordance with its terms, and each of the Buyer and the Buyer ERISA Affiliates has in all material respects met its obligations with respect to such Buyer Employee Benefit Plan and has made all contributions thereto which are required to be made prior to the date hereof. To the knowledge of the Buyer and Merger Sub, Buyer and all Buyer Employee Benefit Plans are in compliance in all material respects with the currently applicable provisions of ERISA and the Code and the regulations thereunder.
Buyer Employee Benefit Plan means each Employee Benefit Plan that is in effect as of the date hereof, covers at least one employee of Buyer or any Subsidiary of Buyer and is maintained by Buyer or any Subsidiary of Buyer or to which Buyer or any Subsidiary of Buyer makes contributions.
