  • Subject to paragraph 159.2 of this Call Off Schedule, the Parties shall seek to resolve Disputes: first by commercial negotiation (as prescribed in paragraph 159 of this Call Off Schedule); then by mediation (as prescribed in paragraph 160 of this Call Off Schedule); and lastly by recourse to arbitration (as prescribed in paragraph 6 of this Call Off Schedule) or litigation (in accordance with Clause 57 of this Call Off Contract (Governing Law and Jurisdiction)).

  • The Supplier shall: pay any undisputed sums which are due from it to a Sub-Contractor within thirty (30) days from the receipt of a Valid Invoice; include within the Performance Monitoring Reports required under Part B of Call Off Schedule 6 (Service Levels, Service Credits and Performance Monitoring) a summary of its compliance with this Clause 29.3.2, such data to be certified each quarter by a director of the Supplier as being accurate and not misleading.

  • Specific issues shall be referred to Expert Determination (as prescribed in paragraph 161 of this Call Off Schedule) where specified under the provisions of this Call Off Contract and may also be referred to Expert Determination where otherwise appropriate as specified in paragraph 161 of this Call Off Schedule.

  • If an offer referred to in paragraph 132.3.2 of Part A of this Call Off Schedule is accepted, or if the situation has otherwise been resolved by the Customer, the Supplier shall, or shall procure that the Notified Sub-Contractor shall, immediately release the person from his/her employment or alleged employment.

  • The Dispute Notice shall set out: the material particulars of the Dispute; the reasons why the Party serving the Dispute Notice believes that the Dispute has arisen; and if the Party serving the Dispute Notice believes that the Dispute should be dealt with under the Expedited Dispute Timetable as set out in paragraph 158.6 of this Call Off Schedule, the reason why.

  • If the Security Management Plan submitted to the Customer in accordance with paragraph 97.3.1, or any subsequent revision to it in accordance with paragraph 97.4 (Amendment and Revision), is Approved it will be adopted immediately and will replace the previous version of the Security Management Plan and thereafter operated and maintained in accordance with this Call Off Schedule.

  • The purpose of this Call Off Schedule is to ensure a good organisational approach to security under which the specific requirements of this Call Off Contract will be met; This Call Off Schedule covers: principles of protective security to be applied in delivering the Goods and/or Services; the creation and maintenance of the Security Management Plan; and obligations in the event of actual or attempted Breaches of Security.

  • In exceptional circumstances where the use of the times in this Call Off Schedule would be unreasonable, including (by way of example) where one Party would be materially disadvantaged by a delay in resolving the Dispute, the Parties may agree to use the Expedited Dispute Timetable.

  • The Supplier shall develop and maintain a Security Management Plan in accordance with this Call Off Schedule.

  • Approval by the Customer of the Security Management Plan pursuant to paragraph 97.3.2 of this Call Off Schedule or of any change to the Security Management Plan in accordance with paragraph 97.4 shall not relieve the Supplier of its obligations under this Call Off Schedule.

Call Off Schedule means a schedule to this Call Off Agreement . Call Off Tender: means the tender submitted by the Supplier in response to the Customer’s Statement of Requirements following a Further Competition Procedure and set out at Call Off Schedule 15 (Call Off Tender). Call Off Terms: means the terms applicable to and set out in Part 2 of this Call Off Agreement . Central Government Body: has the meaning given to it in Framework Schedule 1 (Definitions). Change in Law: means any change in Law which impacts on the supply of the Goods and/or Services and performance of the Call Off Agreement which comes into force after the Call Off Commencement Date. Change of Control: has the meaning given to it in Framework Schedule 1 (Definitions). Charges: means the charges raised under or in connection with this Call Off Agreement from time to time, which shall be calculated in a manner that is consistent with the Charging Structure. Charging Structure: means the structure to be used in the establishment of the charging model which is applicable to the Call Off Contract, which is set out in Framework Schedule 3 (Framework Prices and Charging Structure). Commercially Sensitive Information: means the Confidential Information listed in the Call Off Order Form (if any) comprising of commercially sensitive information relating to the Supplier, its IPR or its business or which the Supplier has indicated to the Customer that, if disclosed by the Customer, would cause the Supplier significant commercial disadvantage or material financial loss.

  • Call-Off Agreement means a legally binding agreement (entered into pursuant to the provisions of the Framework Agreement) for the provision of the Goods and/or Services made between a Contracting Body and the Supplier pursuant to Framework Schedule 5 (Call Off Procedure);
