Closing Bonuses definition

Closing Bonuses has the meaning assigned in section 4.16.
Closing Bonuses has the meaning set forth in Section 2.5.
Closing Bonuses means the bonuses and payments in an aggregate amount of approximately $3,500,000 processed for payment through the payroll of the Company on the Closing Date (and promptly paid in accordance with such payroll process) to current officers and employees of the Company with such bonuses and payments reducing the Purchase Price as contemplated under Section 2.2 hereof as a result of the transactions contemplated hereby.

Examples of Closing Bonuses in a sentence

  • The aggregate amount of the Seller Closing Bonuses and any related employer-side Taxes (but less the amount of the Tax deduction that Seller Parent or its Affiliates would have realized had they paid the Seller Closing Bonuses) shall be reflected as a Liability in Business Working Capital.

  • The Parties acknowledge and agree that at or before the Closing, Seller intends to cause the Company distribute to Seller an aggregate amount of Cash estimated by Seller to bring the Working Capital balance of the Company on the Closing Date to the Target Working Capital (after payment of the Closing Bonuses, as defined below, and any applicable withholding Tax obligations of the Company).

  • However, for the avoidance of the doubt, the Debtors are not authorized to pay any Closing Bonuses to insiders of the Debtors, and are not authorized to pay any Closing Bonuses until the conclusion of the Closing Sales pending entry of the Final Order.

More Definitions of Closing Bonuses

Closing Bonuses means all payments required to be made by Seller to any partner, director, manager, officer, employee, consultant, agent or representative of Seller as a result of the execution of this Agreement or the consummation of the transactions contemplated hereby (including those that become due and payable at or after the Closing), including all change of control, retention, “stay” and transaction bonuses.
Closing Bonuses means an aggregate of up to Two Million Eight Hundred Thousand Dollars ($2,800,000) (including the impact of Three Hundred Thousand Dollars ($300,000) of Taxes) of cash bonuses or other retention measures payable or deliverable by the Company to its employees at or prior to the Closing, or during the sixty (60) day period thereafter.
Closing Bonuses means all bonuses (including discretionary bonuses), “stay-pay” or similar compensatory payments payable (including any change of control payments or severance payments) by the Acquired Companies to their employees, officers and directors (and the employer portion of any payroll Taxes in connection therewith) as a result of the execution of this Agreement or the consummation of the transaction of purchase and sale contemplated hereby.
Closing Bonuses shall have the meaning set forth in Section 2.2(d) hereof.
Closing Bonuses means an aggregate value of $275,000 in bonuses to be paid in accordance with Sections 1.3(a) and 1.3(e) pursuant to the Company’s Key Contributor Retention Plan, all as set forth in the Consideration Spreadsheet.
Closing Bonuses means any payment payable by Seller to any Employee, independent contractor, officer, director, vendor, agent or Representative of Seller as a result of or in connection with the transactions contemplated by this Agreement.
