Closing Bonuses definition

Closing Bonuses has the meaning assigned in section 4.16.

Closing Bonuses means an aggregate of up to Two Million Eight Hundred Thousand Dollars ($2,800,000) (including the impact of Three Hundred Thousand Dollars ($300,000) of Taxes) of cash bonuses or other retention measures payable or deliverable by the Company to its employees at or prior to the Closing, or during the sixty (60) day period thereafter.

  • The aggregate amount of the Seller Closing Bonuses and any related employer-side Taxes (but less the amount of the Tax deduction that Seller Parent or its Affiliates would have realized had they paid the Seller Closing Bonuses) shall be reflected as a Liability in Business Working Capital.

More Definitions of Closing Bonuses

Closing Bonuses means the bonuses and payments in an aggregate amount of approximately $3,500,000 processed for payment through the payroll of the Company on the Closing Date (and promptly paid in accordance with such payroll process) to current officers and employees of the Company with such bonuses and payments reducing the Purchase Price as contemplated under Section 2.2 hereof as a result of the transactions contemplated hereby.
Closing Bonuses means all payments required to be made by Seller to any partner, director, manager, officer, employee, consultant, agent or representative of Seller as a result of the execution of this Agreement or the consummation of the transactions contemplated hereby (including those that become due and payable at or after the Closing), including all change of control, retention, “stay” and transaction bonuses.
