Committed Shares definition

Committed Shares means the Shares specified in the Schedule hereto, including any Shares deriving from the rights set out in column 4 of that Schedule;
Committed Shares means the Ordinary Shares and/or American Depositary Shares of the Company particulars of which are set out in Part 1 of Schedule 1 and shall include any Ordinary Shares and/or American Depositary Shares of the Company attributable to or deriving from such securities;
Committed Shares means, with respect to each Stockholder, Shares of such Stockholder equal in number to the sum of (x) the number set forth in the column labeled “Subject Shares” on Exhibit A hereto corresponding to each Stockholder’s name thereon plus (y) such Stockholder’s “Pro Rata Shares”. “Pro Rata Shares” means, with respect to each Stockholder, Shares of such Stockholder equal in number to the product of:

Examples of Committed Shares in a sentence

  • This Deed does not and will not constitute an offer, undertaking or commitment of any kind by the Purchaser to purchase all or any of the Committed Shares.

  • Each party shall pay its own costs of and incidental to this Deed and any resultant sale or purchase of Committed Shares or Committed Options and, for the avoidance of doubt, any stamp duty or stamp duty reserve tax payable in connection therewith shall be payable by the Purchaser.

  • In connection with their commitment to subscribe for the Committed Shares, the Company granted 15,000,000 compensation options to the Initial Subscribers, entitling the holder to purchase one ordinary share for $0.25 until February 1, 2020.

Committed Shares. ’ means the 359,218,770 Peoples Shares beneficially owned by China Resources and the 133,382,831 Peoples Shares beneficially owned by Michael Leung, which are subject to the Irrevocable Undertakings;

Committed Shares means 102,750 Brit Shares held by me in the manner referred to in clause 1 of this Undertaking together with any other securities in Brit issued or unconditionally allotted to me or my Connected Persons, or otherwise acquired by me or my Connected Persons after the date hereof;
Committed Shares means 116,939,174 Brit Shares held by us in the manner referred to in clause 1 of this Undertaking, together with any Brit Shares issued or unconditionally allotted to us, or otherwise acquired by us, after the date hereof;
Committed Shares means those Offeree Shares held by us in the manner referred to in paragraph 1 of this undertaking together with any other securities in Offeree issued or unconditionally allotted to us, or otherwise acquired by us after the date of this undertaking;
