Company Compensation and Benefit Plans definition

Company Compensation and Benefit Plans has the meaning set forth in Section 3.17(a).
Company Compensation and Benefit Plans means all material employee welfare benefit and employee pension benefit plans as defined in sections 3(1) and 3(2) of the Employee Retirement Income Security Act of 1974, as amended (“ERISA”) and all other material employee benefit agreements or arrangements, including, without limitation, deferred compensation plans, incentive plans, bonus plans or arrangements, stock option plans, stock purchase plans, stock award plans, golden parachute agreements, severance pay plans, dependent care plans, cafeteria plans, employee assistance programs, scholarship programs, employment contracts, retention incentive agreements, vacation policies, and other similar plans, agreements and arrangements that are maintained or contributed to by the Company, any of its Subsidiaries or any Person (whether or not incorporated) that is treated as a single employer together with the Company or any of its Subsidiaries under Section 414 of the Code (“Company ERISA Affiliate”) or with respect to which the Company, any of its Subsidiaries or any Company ERISA Affiliate may have any liability, contingent or otherwise. Section 5.1(i)(i) of the Company Disclosure Letter identifies which of the Company Compensation and Benefit Plans are subject to Title IV of ERISA. Section 5.1(i)(i) of the Company Disclosure Letter also identifies which of the Company Compensation and Benefit Plans are multiemployer plans within the meaning of section 3(37) of ERISA (“Company Multiemployer Plans”). In subsections (ii) through (x), (xii) and (xv) through (xvii) below, the term Company Compensation and Benefit Plan excludes Company Multiemployer Plans.
Company Compensation and Benefit Plans means any benefit and compensation plan, contract, policy or arrangement maintained, sponsored or contributed to by the Company or any of its Subsidiaries covering Affected Employees and current or former directors of the Company, including “employee benefit plans” within the meaning of Section 3(3) of ERISA (whether or not subject to ERISA), and any severance, retention, “change in control,” incentive, bonus, deferred compensation, stock purchase, restricted stock, stock option, stock appreciation rights or stock-based compensation plans and each severance, employment, retention, “change in control” or similar agreement to which the Company or any Subsidiary is a party.

Company Compensation and Benefit Plans means all existing bonus, incentive, pension, retirement, profit-sharing, employee stock ownership, restricted stock, stock option, severance, welfare benefit plans (including paid time off policies and other benefit policies and procedures), fringe benefit plans, employment, consulting, settlement and employment and change in control agreements and all other benefit practices, policies and arrangements maintained by the Company or any Company Subsidiary in which any employee or former employee, consultant or former consultant or director or former director of the Company or any Company Subsidiary participates or to which any such employee, consultant or director is a party or is otherwise entitled to receive benefits.
Company Compensation and Benefit Plans shall include each bonus, deferred compensation, pension, retirement, profit-sharing, thrift, savings, employee stock ownership, stock bonus, stock purchase, restricted stock, stock option, phantom stock, employment, termination, severance, change of control, compensation, incentive, medical, health, death benefit, dependent care, disability, cafeteria, scholarship or other plan, agreement, policy, arrangement or commitment that covers employees, directors, former employees or former directors (or any dependents or beneficiaries of any of them) of the Company and its Subsidiaries or with respect to which the Company or any of its Subsidiaries may have any liability. Such Company Compensation and Benefit Plans are listed in Section 2.16(a) of the Company Disclosure Schedule and any "change of control" or similar provisions therein are specifically identified in Section 2.16(a) of the Company Disclosure Schedule. Neither the Company nor its Subsidiaries has any formal commitment, nor has it communicated to any employee its intention, to modify or change any Compensation and Benefit Plan (other than as required by law) or to establish any new plan. With respect to each such Company Compensation and Benefit Plan, the Company has delivered or otherwise made available to Buyer complete and correct copies of each of the following documents, if applicable:
