Consigned Material definition

Consigned Material means materials that Buyer owns and continues to own that are entrusted to Supplier.
Consigned Material means Precious Metals that are included in the Collateral Report, are held under a Consignment Agreement by a Consignee, and also meet the following requirements: (i) the term of the consignment does not exceed one (1) year from the date of delivery to the Consignee or may be terminated at any time for any reason by the Company upon not more than thirty (30) days prior notice; and (ii) there is in effect an Advised Consignee Letter of Credit or an Assigned Consignee Letter of Credit or Consignment Cash Collateral each in an amount equal to or greater than 110% of the aggregate Market Value of such Precious Metals.
Consigned Material means any [***] delivered by or for Infineon to Supplier for the manufacturing and delivery of Wafers and/or provision of Services.

  • Liability for loss or damage to Consigned Material, including finished Products produced from the Consigned Material, will pass back to Customer upon Fine Pitch’s tender of such Consigned Material or finished Product to a carrier for shipment to Customer.

Consigned Material means materials or components consigned by Customer to Fine Pitch for incorporation into the Products.

EOS dates are only addressed for the purposes of defining the date through which Supplier will make Repair Services available for Products, and do not affect Supplier’s obligations with respect to FRU or other Product availability. In no event shall the date of EOS be more than 5 years after Supplier discontinues such Product. “Engineering Change” or “EC” means any change(s) to Product . “Epidemic Defects” shall mean Products and their associated Engineering Changes that experience one or more of the following: (a) a similar confirmed defect of the same root cause at a rate of * (*) or more or other rate as may be specified in the PUA in any given * ( * ) day rolling period over the life of the Products and three or more similar confirmed defects of the same root cause must exist, (b) a similar confirmed defect of the same root cause at a rate of * ( * ) or more (or other rate that may be specified in the Product Unique Attachment) of total purchases over the life of the Products and three or more similar confirmed defects of the same root cause must exist, (c) recalls , or (d) safety defects “Field Replaceable Unit” or “FRU” means a Product, Product component, Product subassembly, Product documentation, Product code, or other Product part used to service a Customer system. “Lead Time” means the minimum length of time prior to a specific delivery date that Supplier must receive and accept a WA from Buyer to ensure delivery by such date. * Omitted pursuant to a confidential treatment request. Consigned Material means Precious Metals that are included in the. Collateral Report, are held under a Consignment Agreement by a Consignee, and also meet the following criteria: (i) the term of the consignment does not exceed one year from the date of delivery to the Consignee or may be terminated at any time for any reason by the Company upon not more than thirty (30) days prior notice; (ii) there is a letter(s) of credit which is an Assigned Consignee Letter(s) of Credit in favor of the Company and for the account of such Consignee in an amount(s) equal to or greater than 110% of the aggregate Market Value of such Precious Metals; and (iii) the letter(s) of credit is/are issued by or confirmed by an entity located in the United States which has a debt rating of BBB or better by the Standard & Poor's rating agency.
Consigned Material shall have the meaning set forth in Section 2.3.
Consigned Material shall be defined as Trimble-supplied Parts that are furnished to Solectron [***] to be used solely for manufacture of Trimble product. Consigned material will be identified in the Xxxx of Materials and Trimble will provide the material price.

"End of Service" or "EOS" means date when customer service and support for a Parts is officially discontinued. "Field Replaceable Unit" or "FRU" means a Parts marked with a part number which Buyer will either Repair or replace at the customer location. "Lead Time" means the minimum length of time prior to a specific Delivery date that Supplier must receive a WA from Buyer to ensure delivery by such date. "New Defective" means a Parts that is not free of defects and fails upon Delivery and/or installation which may occur as a result of, but not limited to, shipping, handling, packaging or in manufacture prior to arrival at the delivery point; "Parts" means any FRU, specific component of a FRU, subassemblies of a FRU, CSP, any other part, component or subassembly described in this SOW, documentation, code and related Services associated with the completed assemblies. In the event this SOW is issued under a Non-Technical Services Agreement, "Parts" will be synonymous with "Deliverable". "Repair" or "Repaired" means all required repair activity including: disassembly, failure analysis, testing, component recovery, rework, warranty process, packaging, and/or final testing in accordance with this SOW or relevant WA. "Turn Around Time" or "TAT" means the elapsed time from the date of receipt acknowledgement of a FRU arriving at Supplier's from Buyer until shipment notice back to Buyer. "Yield" means the relationship between the AFR sent to Supplier for Repair and the returned Repaired Parts to Buyer.
