Construction Budget and Schedule definition

Construction Budget and Schedule means (a) a budget attached as Exhibit O-1 setting forth, on a monthly basis, the timing and amount of all projected payments of P1 Project Costs through the date on which T1 Substantial Completion, T2 Substantial Completion, and T3 Substantial Completion shall have occurred and (b) a schedule attached as Exhibit O-2 setting forth the proposed engineering, procurement, construction and testing milestone schedule for the Project’s Development through the projected date on which Final Completion shall have occurred under each of the P1 EPC Contracts, which budget and schedule shall (i) be certified by the Borrower as the best reasonable estimate of the information set forth therein as of the Closing Date, (ii) be consistent with the requirements of the Credit Agreement Transaction Documents, and (iii) as of the Closing Date, be in form and substance acceptable to the Senior Lenders in consultation with the Independent Engineer, in each case as may be amended, supplemented or otherwise modified to take into account any Change Orders permitted under Section 9.13(d).

Construction Budget and Schedule means (a) a budget attached as Exhibit O-1 to the CD Credit Agreement setting forth, on a monthly basis, the timing and amount of all projected payments of P1 Project Costs through the date on which Substantial Completion under each P1 EPC Contract shall have occurred under each of the P1 EPC Contracts and (b) a schedule attached as Exhibit O-2 to the CD Credit Agreement setting forth the proposed engineering, procurement, construction and testing milestone schedule for the Project’s Development through the projected date on which Final Completion shall have occurred under each of the P1 EPC Contracts, which budget and schedule shall (i) be certified by the Company as the best reasonable estimate of the information set forth therein as of the Closing Date, (ii) be consistent with the requirements of the P1 Financing Documents and the Material Project Documents, and (iii) as of the Closing Date, be in form and substance acceptable to the Noteholders in consultation with the Independent Engineer, in each case as may be amended, supplemented or otherwise modified to take into account any Change Orders permitted under the CD Credit Agreement.

Construction Budget and Schedule means, in respect of the Stetson II Project, the budget and schedule of anticipated costs to be incurred in connection with the construction and development of the Stetson II Project, in form and substance satisfactory to Administrative Agent.

Examples of Construction Budget and Schedule in a sentence

• The proceeds of the Term Loans and the Bridge Loans shall be used solely for (i) the payment in full to the lenders under the Existing Stetson I Facilities, (ii) the payment in full to the lenders of the loans corresponding to each Stetson II Project Turbine under the Stetson II Turbine Supply Loan, (iii) payment of construction costs in accordance with the Construction Budget and Schedule, and (iv) payment of transaction costs, fees and expenses related to this Financing Agreement.

• At the request of Purchaser’s Manager, Owner shall provide the Management Committee with copies of the data, invoices, price sheets and other information utilized in the preparation of the Construction Budget and Schedule, and shall make the personnel responsible for preparing the Construction Budget and Schedule available during normal business hours and upon reasonable advance notice to discuss the proposed Construction Budget and Schedule with the Management Committee.

• In respect of punch list items, the Administrative Agent and the Independent Engineer shall have received certification from the Borrower that the projections of punch list items expected to be paid with such final Loan shall be in accordance with the Construction Budget and Schedule.

• Each party shall, within the scope of its rights and obligations set forth in this Agreement, use its reasonable best efforts to cause the Initial Plant to be constructed and commissioned with the capacity (including expanded capacity) set forth in Section 3.2 and within the Construction Budget and Schedule.

• Other than those fees set forth on Schedule 7.18, on the Closing Date, the Borrower has no obligation to any Person in respect of any finder’s, advisory, broker’s or investment banking fee other than fees payable under this Agreement and the Fee Letters, or as set forth in the Construction Budget and Schedule, or fees and expenses payable to the Borrower’s legal counsel.

More Definitions of Construction Budget and Schedule

Construction Budget and Schedule has the meaning provided in Section 5.2.2(a).

Construction Budget and Schedule means, with respect to each Eligible Project, (a) a schedule of the development and construction and corresponding budget of such Eligible Project (which shall set forth all Construction Costs), (b) the construction contract for such Eligible Project, including all appendices, (c) a complete set of design documents, including all project specification documents, and (d) the scheduled Substantial Completion date, in each case prepared in accordance with the Budgeting Procedures.

Construction Budget and Schedule means (a) a budget setting forth, on a monthly basis, the timing and amount of all projected payments of Project Costs to construct the Project from the Closing Date through the Projected Final Completion Date and (b) a schedule (which shall be consistent with the budget in clause (a)) setting forth the proposed design, engineering, procurement, construction and testing milestone schedule for the Development through the Projected Final Completion Date, as certified by the Borrower, consistent with the requirements of the Transaction Documents, reviewed and approved by the Independent Engineer and in form and substance acceptable to the Lenders.

Construction Budget and Schedule means a budget and schedule with respect to the development, construction and commissioning of the Project, which shall include projected Project Costs, detailed schedule of Available Construction Funds, Net Working Capital Requirements for each applicable fiscal period (quarterly and annual), detailed schedule of entering into Material Project Documents, detailed scheduled for obtaining Applicable Permits, a projected date of Mechanical Completion, Substantial Completion and a Final Completion Date, a projected schedule to achieve GHG Target, a projected schedule to achieve Electrification Completion, including in each case with an identified contingency amount that is reasonable and acceptable to the Lenders, all in the form attached hereto as Schedule 1.1(a) and agreed upon by the Administrative Agent and the Lenders as a condition to the Closing Date, as updated from time to time in accordance with the terms of this Agreement.
