Direct Salaries definition

Direct Salaries means the amount of wages or salaries paid to the CONSULTANT’s and subconsultant’s employees for work directly performed in this AGREEMENT, exclusive of all payroll-related taxes, payments, premiums, and benefits, calculated on an hourly basis.

Direct Salaries as used herein shall mean the salary costs of Agency personnel (including secretarial staff) in Account Management, Creative Services (including print and broadcast production), Systems and Fulfillment, Media Services (including Media Research) and Traffic, Research and Analysis, Teleservices Marketing, Partnership Marketing and Executive time working on the AT&T account which are directly allocable to the account. 1. The allocable share of salary for an individual who works on the AT&T account is to be computed as follows: Total Annual Salary multiplied by the total number of hours worked on the AT&T account divided by the total number of hours worked on any Agency business. Total number of hours worked on Agency business means time worked on any client business and on agency administration and other activities. It does not include vacation, holidays or sick time. 2. At AT&T's option, such option to be obtained by the Agency in writing from AT&T, AT&T may elect to "buy-out" designated individuals. For those individuals bought out by AT&T, AT&T shall be responsible for that person's total annual base salary, excluding bonuses.

  • The aggregate Direct Salaries, as defined herein, of the agreed upon account staff.

  • The fee for Additional and Work Site Services authorized by this Agreement will be computed by one of the following methods as mutually agreed to by Broward Health and the Consultant: Fixed Lump Sum or Multiple of Direct Salaries.

Related to Direct Salaries

  • Senior Management means personnel of the Company who are members of its core management team excluding Board of Directors. This would include all members of management one level below the executive directors, including all the functional heads.

  • Base Compensation means the amount equal to the sum of (i) the greater of Executive’s then-current Annual Base Salary or Executive’s Annual Base Salary as of the date one (1) day prior to the Change of Control; and (ii) the average of the Incentive Bonus paid (or payable) for the three (3) most recently completed fiscal years of the Company.

  • Bonuses means current cash compensation over and above Base Salary whether awarded under the Company’s Incentive Compensation Plan or otherwise awarded.

  • Gross compensation means every form of remuneration payable for a given period to an individual for services provided including salaries, commissions, vacation pay, severance pay, bonuses, and any board, rent, housing, lodging, payments in kind, and any similar benefit received from the individual's employer.

  • Annual Salary means the salary given under this Part.

  • Travel Expenses means any costs incurred by Licensor associated with the transportation, storage or lodging of equipment, supplies, Licensor employees and other items necessary for business use from Licensor headquarters to Licensee’s facilities. Travel expenses may include, but are not limited to airfare, hotel costs, and meals if applicable. Any travel expenses paid by the Licensee shall be paid at allowable government travel rates consistent with Management Directive 230.10, unless otherwise first approved by the Licensee’s authorized representative.

  • Reasonable compensation means, with respect to a regularly employed officer or employee of any person, com- pensation that is consistent with the normal compensation for such officer or employee for work that is not fur- nished to, not funded by, or not fur- nished in cooperation with the Federal Government.

To the extent that the Bankruptcy Court or any higher court denies or reduces by a Final Order any amount of a Retained Professional’s fees or expenses, then those reduced or denied amounts shall no longer constitute Accrued Professional Compensation.

  • Accrued Base Salary means the amount of Executive's Base Salary which is accrued but not yet paid as of the Date of Termination.

  • Monthly Base Salary means 1/12th of the greater of (i) Executive’s annual base salary (excluding incentive pay, premium pay, commissions, overtime, bonuses and other forms of variable compensation) as in effect on the date of a Change in Control Termination or a Covered Termination, as applicable, or (ii) in the case of a Change in Control Termination, Executive’s annual base salary (excluding incentive pay, premium pay, commissions, overtime, bonuses and other forms of variable compensation) as in effect on the date of a Change in Control.

  • Senior Management Team means at any particular time the Chief Executive Officer and President of the Company.

  • Salaries paid to employees or words of similar import means salaries and amounts actually paid (excluding payments or factors for holidays, vacations, sick time, bonuses, profit participations and other similar payments) to architects, engineers, designers, drafters or other professional and technical employees of the Consultant for time actually spent directly in the performance of technical services hereunder and recorded on daily time records which have been approved by the employee's immediate supervisor, excluding the time of any employee of the Consultant to the extent that the time of such employee of the Consultant is devoted to typing/word processing, stenographic, clerical or administrative functions. Such functions shall be deemed to be included in the multipliers referred to in Subparagraph A above.

  • Personnel means persons hired by the Service Provider or by any Subcontractor as employees and assigned to the performance of the Services or any part there of;

  • Annual Fees means the annual fees charged by the Trustee for services provided as the trustee and paying agent under the Indenture.

  • Requisition Compensation includes all compensation or other moneys payable by reason of any act or event such as is referred to in paragraph (b) of the definition of “Total Loss”;

  • Senior executive officer means the Company’s “senior executive officers” as defined in subsection 111(b)(3) of EESA.
