Employee Stock Plan definition

Employee Stock Plan means the arrangements, terms and procedures that the Corporation may establish from time to time for the issuance of up to 180,000 shares of Common Stock (or such larger number of shares of Common Stock as may be approved by (i) the "Compensation Committee" of the Board of Directors, or if no such committee exists, by the Board of Directors and (ii) the holders of at least 70% of the shares of PIK Preferred Stock) to employees or independent contractors of the Corporation or any Subsidiary at prices equal to the market value thereof as of the date of issuance and pursuant to such terms and conditions (including vesting) as the Board of Directors shall determine.
Employee Stock Plan means the 2003 Equity Incentive Plan and/or any other stock incentive agreements and/or plans which the Companies expect and intend to enter into with the employees, officers, directors or consultants of the Companies or their subsidiaries and/or adopt, as the case may be, to be effective on or after the Effective Date, pursuant to which employees, officers, directors or consultants are expected to be afforded stock, stock options, stock rights or other equity benefits. The shares of New PSI Common Stock which could result from the grant or exercise of these equity benefits or in connection with the Designated Stock Options, in aggregate, may constitute up to 2,650,000 shares of the New PSI Common Stock and which would permit, starting January 1, 2005, annual additions to an Employee Stock Plan in an amount not to exceed 4% of the fully diluted New PSI Common Stock on the date of each annual addition.

Amended and Restated 2019 Performance Incentive Plan annexed hereto as Exhibit J (as in effect on the FirstSecond Amendment Effective Date and as subsequently amended in accordance with the terms hereof), pursuant to which certain Eligible Persons (as defined therein) may purchase restricted Equity Interests in the Parent.
