Eurex Software definition

Eurex Software means the Programs and any Modifications including, without limitation, Eurex 2.0, Eurex 3.0, Eurex 4.0, Eurex 4.1, JV Release 1.0 and any future releases or versions thereof.

Examples of Eurex Software in a sentence

  • DBS provides and operates the infrastructure necessary for the development and update of Eurex Software (the "Development Environment").

  • DBS will be the sole and original owner of, and will have the sole and exclusive title in and to: (i) the Pre-Existing Proprietary Rights, and (ii) any Proprietary Rights that DBS develops after the Effective Date that DBS can clearly establish are outside the scope of any work performed under this Agreement and that are not necessary for the operation or maintenance of the Eurex Software (collectively, the "DBS Proprietary Rights").

  • DBS will build the Eurex Software so that it complies with legal and regulatory requirements (including the technical basis for each of the Exchanges to comply with the IOSCO Principles for the Oversight of Screen Based Trading Systems for Derivative Products to the extent that specific IOSCO Principles relate to functionality included in the Eurex Software) for the operation of the Exchanges in effect on the execution date of this Agreement.

  • DBS acknowledges and agrees that it is precluded from developing for itself or for others materials that are derived from any Deliverable or Sub-Project, and DBS disclaims any Rights to the Eurex Software.

  • The development and maintenance of the Eurex Software itself will be governed by the Master Software Development Agreement, and any software development work will be governed and takes place by the Master Software Development Agreement even if it has been initiated under this Agreement.

  • Corrective Maintenance is the implementation of a change in the Eurex Software to correct a problem after it has become apparent in production.

  • The development and maintenance of JV Release 1.0 and any further versions of the Eurex Software or other applications requested by LLC or a Development Party constitutes the "Project".

  • The parties will use their commercially reasonable best efforts to assure the successful development and maintenance of the Eurex Software ready for the operation of the Exchanges as separate derivatives markets with equal access to the resources provided for under this Agreement; such equality of access will have absolute priority.

Eurex Software means the entirety of the software used or developed for the purpose of electronic trading or clearing of derivative products on the electronic markets operated by or for Eurex Deutschland, Eurex Zurich or the CBOT, provided that, for the avoidance of doubt, any software used for production prior to August 27, 2000 for the purpose of electronic trading of futures and futures options on an electronic market operated by or for the CBOT (and not Eurex Deutschland or Eurex Zurich) is not included in the Eurex Software. The Eurex Software includes the Programs (as defined in the SLA) and the Modifications, but does not include any software that has not been (i) developed by or on behalf of a member of the Eurex Group, or (ii) co-owned at any time by Ceres, DBAG and SWX according to the AA and the SLA. Subject to the preceding sentence, the Eurex Software does not include software that is, has been or may be used for market surveillance or clearing activities in connection with the CBOT Electronic Market.

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Services;

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Business Software means with respect to a Licensor, all Software to the extent Controlled by such Licensor or any of its Affiliates as of the Effective Date, which Software is reasonably required as of the Effective Date for the conduct of (i) the Agriculture Business if the Licensee is AgCo, including as listed on section (i) of Schedule Q, or (ii) the Materials Science Business if the Licensee is MatCo, including as listed on section (ii) of Schedule Q, in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee and its Affiliates have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.

  • Company Software means Software owned or purported to be owned by or developed by or for the Company or any Company Subsidiary.

  • Customized Software or “Customization” means any Application Software code modified or amended on behalf of the Customer. Setting of parameters, parameterization or configuration is not a Customization.

  • Service Software means any and all software applications and any third-party or other software, and all new versions, updates, revisions, improvements and modifications of the foregoing, that Contractor provides remote access to and use of as part of the Services.
