EXHIBIT “H” Additional Terms or Modifications Version 1 LEA and Provider agree to the following additional terms and modifications: This is a free text field that the parties can use to add or modify terms in or to the DPA. If there are no additional or modified terms, this field should read “None.” The following text is appended to Article II, section 5: "Notwithstanding the foregoing, Provider shall have no obligation to enter into any such agreements and shall not be responsible for any third parties, including but not limited to educational service centers, to which LEA transmits Student Data or contracts with for services outside of the scope of the Services provided by Provider." The following text is added to Article IV, section 6: "Provider requires that the LEA not provide Student Data in emails sent by its employees to the Provider." Article V, section 2 is changed as follows: "Provider will allow the LEA to audit the security and privacy measures that are in place" is changed to "Provider will allow the LEA to audit the summary security and privacy measures that are in place" Article V, section 4 has the following text added to the end of the first paragraph: "when compromise was caused by the Provider:" Exhibit C, Definitions "Service Agreement: Refers to the Contract, Purchase Order or Terms of Service or Terms of Use." is changed to "Service Agreement: Refers to the Provider and LEA Contract, Purchase Order or Terms of Service or Terms of Use."

Students may create their own accounts independently with Parchment outside of the scope of this DPA. Exhibit G, Section 10. Notwithstanding anything to the contrary in this section, Parchment agrees to reimburse the LEA for such costs and expenses up to, and not to exceed, the amount of insurance proceeds allocated and payable to the LEA in connection with the applicable third party claim, or payable to the LEA as an additional insured, as applicable, under Parchment's insurance policies. Parchment will only provide credit monitoring if required by applicable law or if authorized and covered with respect to the particular security breach by its insurance provider.

If there are no additional or modified terms, this field should read “None.” LEA acknowledges that Savvas Learning Company LLC (“Savvas”) is the exclusive sales agent in the K-12 market for certain products owned by Provider. The Provider products covered under this Agreement are designated in the list set forth on Exhibit A attached to and incorporated into this Agreement by reference. To the extent that such products offer a digital, hosted component, these services are administered through Provider and as such, the data privacy and security obligations with regard to any such products covered under this Agreement reside with Provider. All other matters related to purchase or ordering reside with Savvas. On page 2, Section 5 is amended to state that: "The Provider's products which are being provided to LEA pursuant to this DPA are detailed in Exhibit "A" (the "Services").

Exhibits A and B. Exhibit A to the Agreement is hereby deleted and replaced with Exhibit A, attached hereto, to reflect reorganizations of the Funds which have occurred since inception of the Agreement. Exhibit B to the Agreement is hereby deleted and replaced with Exhibit B, attached hereto, to reflect the addition of VVIF as an additional Principal to the Agreement and to reflect changes in the Board Policy since the date of the Agreement.
