Filing Jurisdiction means a jurisdiction whose law generally requires information concerning the existence of a nonpossessory security interest to be made generally available in a filing, recording or registration system as a condition or result of the security interest’s taking priority over the rights of a lien creditor (as defined in § 9-102(a)(52) of the NY UCC) with respect to the Collateral.

Filing Jurisdiction means a jurisdiction whose law generally requires information concerning the existence of a non-possessory security interest to be made generally available in a filing, recording or registration system as a condition or result of the security interest's taking priority over the rights of a lien creditor (as defined in Section 9-102(a)(52) of the UCC) with respect to the collateral referred to in paragraph 6 hereof. Our opinions in paragraphs 2 and 6 above are subject to possible limitations on the exercise of remedial or procedural provisions contained in the Master Security Agreement, but such limitations do not, in our opinion (but subject to the other comments and qualifications set forth in this opinion letter), make the remedies and procedures that would be afforded to the Offshore Collateral Agent or the Secured Parties inadequate for the practical realization of the benefits intended to be provided by the Master Security Agreement.
