Financial Certificate definition

Financial Certificate. The certificate of even date herewith executed by Xxxxxxxxx to Mortgagee concerning financial statements previously delivered by Mortgagor to Mortgagee.
Financial Certificate has the meaning set forth in Section 6.13(e).
Financial Certificate means a certificate substantially in the form of Exhibit J as to the creditworthiness and financial solvency of the entity executing such certificate and attested to by an officer of such entity.

Financial Certificate has the meaning set forth in Subsection 4.1(t)(ii);

Financial Certificate means a certificate, duly executed by the Company, in a form reasonably satisfactory to the Investors, certifying the following amounts, each on a consolidated basis and to the Company’s Knowledge (it being acknowledged that such amounts are not audited and may be subject to changes resulting from the 2006 Audited Reports): (i) cash balances at the Company Group’s bank accounts as of not earlier than two Business Days prior to the date such certificate is to be delivered, (ii) gross accounts receivables aged by time (without accounting for any provisions for doubtful accounts) as of not earlier than 5 Business Days prior to the date such certificate is to be delivered, (iii) accounts payables (other than accrued expenses and liabilities) as of not earlier than 5 Business Days prior to the date such certificate is to be delivered (such terms in clauses (ii) and (iii) as defined under GAAP), and (iv) the Bank Debt and any other indebtedness for money borrowed by the Company Group from banks or other financial institutes as of not earlier than two Business Days prior to the date such certificate is to be delivered. For the purposes of this sub-section, “Business Day” shall mean each day that is not a day on which banking institutions are authorized or obligated by law or executive order to close in the relevant jurisdiction.
Financial Certificate means a certificate executed by the Chief Executive Officer and Chief Financial Officer of the Company and dated as of the Closing Date, certifying: (a) the calculation of the Closing Cash; (b) the calculation of the Working Capital Amount and Closing Working Capital Adjustment (including (i) the Company’s balance sheet as of open of business on the Closing Date prepared on a consistent basis with the Balance Sheet, (ii) an itemized list of each element of the Working Capital Assets and (iii) an itemized list of each element of the Working Capital Liabilities); (c) an itemized list of all outstanding Debt as of open of business on the Closing Date with a description of the nature of such Debt and the Person(s) to whom such Debt is owed; (d) an itemized list of any Transaction Expenses that are unpaid as of open of business on the Closing Date and the Person(s) to whom such Transaction Expenses are owed; and (e) based on the foregoing certifications, calculations of the Purchase Price, the Exchange Ratio, the Participating Share Number, the Per Share Amount, the Per Share Closing Cash Consideration and the Per Share Closing Share Consideration (including each component of such calculations).
Financial Certificate means an Officers’ Certificate, dated not more than thirty (30) days prior to the date of the related Application, and executed by a Person who is an Accountant (who may be one of the two (2) Officers who execute and deliver such Officers’ Certificate), stating:
