First Employee List definition

First Employee List has the meaning given in Clause 25.9;]
First Employee List regarding the identity, number, age, sex, length of service, job title, grade and terms and conditions of employment of and other matters affecting each of those employees of the Authority and of any sub-contractor of the Authority who it is expected, if they remain in the employment of the Authority or of the sub-contractor of the Authority as the case may be until immediately before the Relevant Service Transfer Date, would be Transferring Employees but the Authority gives no warranty as to the accuracy or completeness of this information.

  • Company Employee Agreement means each management, employment, severance, retention, transaction bonus, change in control, consulting, relocation, repatriation or expatriation agreement or other Contract between: (a) any of the Company Entities or any Company Affiliate; and (b) any Company Associate, other than any such Contract that is terminable “at will” (or following a notice period imposed by applicable Legal Requirements) without any obligation on the part of any Company Entity or any Company Affiliate to make any severance, termination, change in control or similar payment or to provide any benefit.

  • Company Employee means an employee of the Company or an employee of a Subsidiary of the Company, if any.

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Contract employee means an employee performing services under a PEO services contract or temporary help services contract.

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation.   • Parent Employee Plan means any plan, program, policy, practice, contract, agreement or other arrangement providing for compensation, severance, termination pay, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written or unwritten or otherwise, funded or unfunded, including without limitation, each "EMPLOYEE BENEFIT PLAN," within the meaning of Section 3(3) of ERISA which is maintained, contributed to, or required to be contributed to, by Parent or any Affiliate for the benefit of any Parent Employee;

  • Current Employees has the meaning set forth in Section 5.6(a).

  • Part-Time Employees means employees employed on a permanent basis, but obligated to work less than a full (i.e., forty-hour) work week.

  • Permanent Employees means all employees who are not casual employees, or employees working in a long-term supply assignment, as defined below.

  • Student Employee means a student who is paid by the District, and may include students participating in a work study program or who receive stipends while they are acting within the scope of their employment at the District at the time the intellectual property was created.

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Hired Employee has the meaning set forth in Section 6.1.6.

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Seller 401(k) Plan shall have the meaning set forth in Section 6.01(i).

  • Parent Employee means, a current employee of Parent or any of its Subsidiaries.

  • Company Employee Plans has the meaning set forth in Section 3.12(a).

  • Current Employee has the meaning set forth in Section 7.8(a).

  • Management Employee means an employee having responsibility for formulating, administering or managing the implementation of District policies and programs.

  • Transferred Employee has the meaning set forth in Section 6.01(a).

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • U.S. Employee means a person who is an employee of the Company (or of any Subsidiary) for purposes of section 422 of the Code.

  • Designated Employees means a person occupying any of the following position in the Company:
