Licensed Equipment means equipment or products sold by a Manufacturing Customer which contain Products purchased directly or indirectly from AMSC or its Affiliates and for which Manufacturing Customer’s sales price, from which packaging, insurance, transportation, and duties and taxes are subtracted, of such equipment or product is at least [**] times higher than the Fair Market Value of the Products contained therein.
