Long Lead Item definition
Long Lead Item means any item which is not a stock item and must be specially manufactured, fabricated or installed or is of such an unusual, delicate or fragile nature that, in any such case, there is a substantial risk that (A) there will be a delay in its manufacture, fabrication, delivery or installation, or (B) after delivery, such item will need to be reshipped or redelivered or repaired so that in Landlord’s reasonable judgment the item in question cannot be completed when the standard items are completed even though the item in question is (1) ordered together with the other items required and (2) installed or performed (after the manufacture or fabrication thereof) in the order and sequence that such item and other items are normally installed or performed in accordance with good construction practice. In addition, “Long Lead Item” shall include any standard item which in accordance with good construction practice should be completed after the completion of any item of work in the nature of the items described in the immediately preceding sentence. Any dispute as to whether any work, materials, equipment, finishes, facilities, improvements or installations constitutes a Long Lead Item hereunder shall be resolved by arbitration pursuant to Article 25 hereof.
Long Lead Item means any item of the Tenant Improvements or material element thereof which Landlord reasonably identifies in writing to Tenant at the time Landlord reviews Tenant’s proposed Plans as provided in paragraph 2.3 as unavailable at the Premises in time to be completed and installed prior to the anticipated Commencement Date. Telecommunication Facilities: Equipment, facilities, apparatus and other materials utilized for the purpose of electronic telecommunication, including cable, switches, wires, conduit and sleeves. Telecommunication Services: Services associated with electronic telecommunications, whether in a wired or wireless mode. Basic voice telephone services are included within this definition.

Consistent with Section 7.3 of this Agreement, metering equipment shall be in compliance with the NYISO Revenue Metering Requirements, the New York State Department of Public Service Approved Meter List dated 9/18/20188/15/2022 or the most current revision at the time of detailed design (i.e., at the time Developer achieves the Long Lead Item Purchase Milestone in Appendix B), and NERC FAC-001-3 (Facility Interconnection Requirements).
More Definitions of Long Lead Item
Long Lead Item means any component of the Tenant Improvements which is not readily available in reasonable quantities in the metropolitan Washington, D.C. area or which requires a long term lead time for procurement or installation. As used herein, the term "Legal Requirements" shall mean any laws, ordinances, regulations and orders of the United States of America, the County of Fairfax, the Commonwealth of Virginia and any other governmental authority with jurisdiction over the Building or the construction of the Tenant Improvements.
Long Lead Item means any Subtenant Improvement or portions of the Subtenant's Improvements (i) which the Master Landlord indicates in the Schedule cannot be completed by the Commencement Date, and (ii) either (x) the completion of which item or items is not a condition precedent to the issuance of a certificate of occupancy (be it temporary or permanent) for the Subleased Premises (the "Certificate of Occupancy"), and the failure of such item or items to be completed or the later process of completion or such item or items shall not substantially interfere with the Subtenant's use and occupancy of the Subleased Premises, and the Subtenant refuses to permit the substitution of a functionally equivalent alternative of comparable quality as proposed by Master Landlord and which can procured and installed before the Commencement Date) or, (y) while the completion of which item or items is a condition precedent to the issuance of a Certificate of Occupancy", Subtenant refuses to permit the substitution of functionally equivalent alternative of comparable quality as proposed by Master Landlord and which can be procured and installed before the Commencement Date.
Long Lead Item means any item or material element of the Fifth Floor Expansion Space Leasehold Work identified during the design or award process that, due to circumstances beyond the reasonable control of Landlord (including, without limitation, long lead times necessary for fabrication or delivery) will not be at the Fifth Floor Expansion Space in time to be completed and installed prior to the anticipated occupancy date (i.e., January 1, 2009).

In the event Tenant fails timely to affirmatively elect (x), (y), or (z) above, Tenant shall be deemed to have elected (z). If Tenant elects (z) or is deemed to have elected (z), any delays in completion of the construction as a result thereof shall be Tenant Delay. Landlord shall promptly identify for Tenant, after the time of submission by Tenant of a proposed substitution, the reasonably estimated delay which will be caused by said substitution, if any. The actual delay, if any, caused by such substitution shall be Tenant Delay. Any delay in the completion and installation of the long-lead item or arising from Tenant's election to substitute any long-lead item or retain an identified long-lead item shall be a Tenant Delay.
