As used in this Agreement, "Net License Revenue" means the license fees plus professional services fees (but not support and maintenance fees) for licenses of Trio either as a stand-alone product or as incorporated into Xxxxxxx.xxx products, received from such Company Customers during the term of such agreement with Company Customers.
For Net License Revenue over $2.0 million during such period, the holders of Old Notes shall collectively receive .35 Parent Shares (as such percentage may be adjusted to reflect stock splits, stock dividends and reverse stock splits of Parent) for each $1.00 of Net License Revenue recorded during such period.
In the case of so-called “bundled sales,” where Applications acquired hereunder are “bundled” with other software offered by Parent or its affiliates, or by Parent and a third party or parties, the amount of Net License Revenue allocable to the Applications acquired hereunder shall be used to determine the payments required hereunder.
Subject to the minimum royalty amount calculation, royalties will be paid to Licensor as a percentage of Net License Revenue.
If PSC licenses the Software as Stand-Alone Software, then FRx shall be entitled to receive the amount of PSC Net License Revenue from the licensing of the Stand-Alone Software multiplied by the applicable royalty rate contained on Exhibit B.
