Net License Revenue definition

Net License Revenue means the license fees plus professional services fees (but not support and maintenance fees) for licenses of Trio either as a stand-alone product or as incorporated into Xxxxxxx.xxx products, received from such Company Customers during the term of such agreement with Company Customers.
Net License Revenue means the gross amount charged or invoiced by Pumatech resulting from the licensing of Programs during a calendar quarter excluding any amounts for taxes, shipping, insurance, and duties and reduced by all discounts, refunds, and allowances granted in the ordinary course of business.
Net License Revenue means the gross invoiced license fees billed by Buyer to any third party in connection with the license, sublicense or other use of the Applications, less (i) ordinary and necessary handling, insurance and other reasonable charges relating to the delivery or return of Applications to or by such end user customers, (ii) customary discounts actually allowed and taken, (iii) customs duties, surcharges, value added taxes ("VAT"), sales taxes, excise taxes and any other charges of any other governmental body placed on licensing of the Applications, (iv) reasonable bad debt expense, (v) amounts repaid or credits by reason of rejections or returns of Applications, or service credits provided under the service level agreements, (vi) associated royalties, license fees or commissions paid to third parties and (vii) reasonable travel costs incurred which are directly related to license sales. For avoidance of doubt, Net License Revenue does not include any fees received for performing any services, including any consulting services, maintenance services or support fees or any fees received in connection with licensing of any products or software, other than the Applications. In the case of so-called "bundled sales," where Applications purchased as part of the Assets are "bundled" with other software offered by Buyer, its affiliates, or by Buyer and a third party or parties, the amount of Net License Revenue allocable to the Applications purchased as part of the Assets shall be used to determine the Royalty Payment; provided, further, Buyer shall also fairly allocate among license, professional services and maintenance fees in determining the Royalty Payment. Acknowledging Seller's reliance upon the anticipated share of Net License Revenue as an express condition of entering into this Agreement, Buyer shall use commercially reasonable efforts to adequately license, service and maintain its Application customers in accordance with good industry practice, and use its commercially reasonable efforts to timely recognize and realize the maximum license revenue generated therefrom during the entire three-year period following the Closing Date.

Net License Revenue means the revenue from the grant of a software license, determined in accordance with generally accepted accounting principles, consistently applied and as reflected in Netsmart's filings with the Securities and Exchange Commission (the "Commission"), accrued by Netsmart or CSM pursuant to any New Contracts less (I) amounts paid by CSM for hardware, software or services provided by any third party, (II) money paid by CSM to perform unfunded customization for the client, (III) any sales or other taxes or duties to the extent that they are included in revenue, (IV) the amortization of any software development costs, whether capitalized or expensed, relating to the AIMS Product for which such development costs were incurred, which shall be amortized over the Applicable Amortization Period, and (V) 10.0 % of revenue from the New Contract, determined prior to deductions set forth in clauses (I) through and including (V) of this Paragraph 2(c)(ii)(A). The parties presently anticipate that CSM will incur such development costs only for the Correction software included in the AIMS Intellectual Property. In the event that a New Contract provides for ASP services and does not expressly provide for a license fee or similar charge, the amount to be allocated to the license shall be determined in good faith by CSM.
