Support and Maintenance Fees. The delivery of Support and Maintenance Services is subject to Your having fully paid up the Support and Maintenance Fees in accordance with the terms and conditions specified in the invoice provided by ISA. You may not withhold or suspend payment of fees due and payable under the License Agreement or Addendum 1 on the basis of ISA’s performance or completion of the Support and Maintenance Services. Unless otherwise stated or agreed upon, the Support and Maintenance Fees for any renewal period shall be at ISA’s then-prevailing price. In case you enter into several License Agreements or Addendums 1, combining multiple license types, the Support and Maintenance Fees will be pro-rated so that the coverage periods for the several licenses covered by this Addendum 2 will coincide.

Support and Maintenance Fees. Licensee shall pay to Licensor annual support and maintenance fees (“Support Fees”) As set forth in the Order Form. Licensor may increase the maintenance fees on an annual basis by up to five percent (5%). Following the first 12 month support period, Support Fees are payable, annually and in advance for the succeeding 12 month period. Licensor may, where appropriate, prorate Support Fees so that Support for all Software licenses are renewable on the same date, even if all the Software were not ordered at the same time.

No provision of the Support and Maintenance Policy may conflict with this SLMA. All Support and Maintenance Fees shall be earned when paid and shall be non-refundable. Support and Maintenance Fees. Licensee has elected to purchase Support and Maintenance for the Software for [***] year following the Amendment Effective Date. The annual fee for such Support and Maintenance is included in the License Fees set forth under Section A above, and is equal to [***]% of the License Fees for the Service or the Additional Service, as the case may be.
