Parent Incentive Plans definition

Parent Incentive Plans has the meaning set forth in Section 4.5(b).

Parent Incentive Plans means any of the annual or short term incentive plans of Parent, all as in effect as of the time relevant to the applicable provisions of this Agreement.

Parent Incentive Plans means the Parent 2021 Equity Incentive Plan and the Parent 2021 Manager Incentive Plan, each as amended or supplemented from time to time.

Examples of Parent Incentive Plans in a sentence

• Parent shall retain all Liabilities with respect to any bonus awards payable under the Parent Incentive Plans to Parent Employees for the year in which the IPO Effective Time occurs and thereafter.

• The ElderCare Incentive Plans and the ElderCare Bonus Plan shall be substantially identical in all Material Features to the corresponding Parent Incentive Plans and Bonus Plan, except that such ElderCare Incentive Plans shall, except as specifically provided herein, provide for all stock-based awards to be based upon ElderCare Common Stock rather than Parent Common Stock.

• From March 31, 2009 to the date hereof, Parent has not issued or permitted to be issued any shares of capital stock or Parent Securities, other than pursuant to and as required by the terms of the Parent Incentive Plans and, from March 31, 2009 to the date hereof, Parent has not issued any stock options or other awards under the Parent Incentive Plans.

• As of May 29, 2009, 7,644,533 shares of Parent Common Stock were reserved for future issuance pursuant to outstanding Parent stock options or restricted stock awards under the Parent Incentive Plans.

• As of the close of business on March 12, 2013, there were 835,854 shares of Parent Common Stock remaining available for the grant of awards under the Parent Incentive Plans.

More Definitions of Parent Incentive Plans

Parent Incentive Plans means collectively (i) the Amended and Restated Stock Option and Equity Compensation Plan of Parent, (ii) the Amended and Restated Employee Stock Purchase Plan of Parent, (iii) the Inducement Stock Option and Equity Compensation Plan of Parent, and (iv) the Second Amended and Restated Employee Stock Option Plan of Parent, in each case including any schedules or appendices thereto, as assumed by Parent under this Plan of Arrangement, as amended from time to time, and “Parent Incentive Plan” means any one of them, as applicable.

Parent Incentive Plans means the Amended and Restated 2006 Equity Incentive Plan and the Long Term Incentive Plan of Parent, each as amended.

Parent Incentive Plans means the 2005 Equity Incentive Plan (as amended and restated as of February 18, 2009), the Long-Term Incentive Plan, as amended and restated as of November 2002, the Broadbased 2000 Incentive Plan and the Second Amended and Restated 1995 Stock Option Plan for Non-Employee Directors.

Parent Incentive Plans means the ENSCO Incentive Plan, as amended, the ENSCO International Incorporated 1998 Incentive Plan, and the ENSCO International Incorporated Key Employees' Incentive Compensation Plan, as revised and restated.

Parent Incentive Plans means plans maintained by Parent (other than any employee stock purchase plan designed to satisfy Section 423 of the Code) that are similar to the Company Incentive Plans on the date of this Agreement.

Parent Incentive Plans means the Amended and Restated 2006 Equity Incentive Plan and the Long Term Incentive Plan of Parent, each as amended. “Parent Information” has the meaning given to such term in Section 5.3(a).

Parent Incentive Plans means the Parent’s stock option plan and the Parent’s restricted share unit plan, in each case as may be further amended or amended and restated from time to time, or any other similar equity incentive plans approved by the board of directors of the Parent;
