Buyer shall not be responsible for any additional costs. There is no minimum order quantity or volume required from Buyer when ordering Goods, unless otherwise specified in the PO. Seller shall, upon request of Buyer, inform Buyer whether the Goods are imported or manufactured with imported materials and furnish Buyer with all documentation required for duty drawback for product or imported materials contained in the Goods purchased by Buyer hereunder. Seller agrees that in any case where freight regulations covering goods transported by a common carrier establish a maximum limit on the carrier’s liability for loss or damage suffered in transit, Seller will be liable to Buyer for any loss or damage in excess of such maximum limit.

Except as otherwise agreed in writing medmix's prices are net prices and are exclusive of any associated additional costs, including (but not limited to charges for: freight; packing; carriage; customs duties; or taxes. Buyer and medmix shall each be responsible for the payment of their own respective taxes, license fees, tariffs or other governmental charges (collectively "Charges") assessed or payable by law by such Party in connection with an Order. Any such Charges attributable to Buyer which medmix may be obligated to collect shall be added to the medmix invoice as a separate charge. To the extent applicable, Buyer may provide a valid tax exemption certificate, which will be honored and accepted by medmix.

With regard to long term contracts concluded with Buyer, i.e. especially long term supply contracts, Seller is entitled to regularly adapt its prices based on raw material costs on a pro rata basis upon prior reasonable notice to Buyer. If and to the extent Seller’s other costs for the products increased during any calendar year, Seller may reasonably increase its prices with effect from the first day of January of the next calendar year upon prior reasonable notice to Buyer.

Unless otherwise specified, prices are for Products and/or Services only and do not include taxes, impositions and any other charges, fees, shipping charges, transportation charges, or Buyer-specified special packaging or crating or duties imposed by any government authority. Seller shall have the right to increase the prices contained herein by an amount equal to any additional duty, tariff tax, or other change imposed as a result of any action by any government of any country, any state or local jurisdiction or any agent or agency thereof. Any taxes which Seller may be required to pay or collect under any existing or future federal, state, local or foreign law upon or with respect to the sale, purchase, delivery, storage, processing, use or consumption shall be for the account of Buyer, and Buyer shall promptly pay the amount thereof to Seller upon demand.
Prices; Taxes. The price of the Products shall be set forth in the Agreement, or, if no price is stated in the Agreement, on the invoice issued by Seller. Except for taxes on Seller’s net income, Buyer shall be liable for and pay all sales, excise, and other taxes and duties, and other customs charges, relating to any and all Sales hereunder. Unless otherwise agreed by the parties in writing, the prices provided by Seller are exclusive of VAT, transportation costs, any taxes, duties or charges which may be levied on the Sale of Products.
