Provider IP means the Services, the Documentation, and any and all intellectual property provided to Client or any Authorized User in connection with the foregoing.

For the avoidance of doubt, Provider IP includes Aggregated Statistics and any information, data, or other content derived from Provider's monitoring of Customer's access to or use of the Services, but does not include Customer Data.
Provider IP means Provider’s pre-existing or independently developed proprietary materials and other intellectual property that Provider can demonstrate with written records was created prior to or separate from Provider’s engagement with MBRDNA. Provider must obtain MBRDNA’s prior written consent before incorporating Provider IP into any Work Product, although Provider’s failure to do so does not affect the license grant of Provider IP to MBRDNA under this Agreement.
Examples of Provider IP in a sentence
Except for the limited rights and licenses expressly granted under this Agreement, nothing in this Agreement grants, by implication, waiver, estoppel, or otherwise, to Customer or any third party any intellectual property rights or other right, title, or interest in or to the Provider IP.
Upon termination of this Agreement, Customer shall immediately discontinue use of the Services and any Provider IP.
More Definitions of Provider IP
Provider IP means the PureCars Services and all intellectual property provided to Dealer in connection with the foregoing. For the avoidance of doubt, Provider IP includes any information, data, or other content derived from Provider’s monitoring of Dealer’s and/or Consumer’s access to or use of the PureCars Services but does not include Limited Consumer Information.
Provider IP means all Intellectual Property Rights in the following:
(a) all Course Materials that are either (i) made or developed by or for Provider on or after the Effective Date outside the performance of the Services for Client under this Agreement, or (ii) Course Materials owned by Provider prior to the Effective Date;
(i) the IT Platform, (ii) all other technology, algorithms, platforms, systems, computer programs and software (in both source code and object code forms) used by Provider to provide the Services, including each of the foregoing as developed for the IT Platform, (iii) all Provider-developed or Provider-acquired user interface designs necessary to facilitate access by Client and faculty and students of the Institution to Client IP via the IT Platform, including all logic and data modules, algorithms, feature sets and source code, and documentation relating to the items described in clauses (i), (ii) and (iii), including (x) the course management system and faculty management system developed by Provider, (y) the Waypoint engine and platform, and (z) the Constellation engine, platform and content;
(c) any and all De-Identified or Aggregated Data Sets;
(d) all rights of Provider licensed from third parties;
(e) all Behavioral Modeling Tools and Processes made or developed by or for Provider;
(f) all processes and procedures used by Provider for the online delivery and consumption of Course Materials and for curriculum and Course Materials development and design;
(g) the generic design templates for Client’s website and portal, excluding any Client Marks and the content on the Client’s website or portal;
(h) all design templates and course design processes for Course Materials; and
(i) all Objects that are either (i) made or developed by or for Provider on or after the Effective Date, whether or not related to the performance of the Services, or (ii) Objects owned by Provider prior to the Effective Date. For clarity, the Provider IP does not include the Client Marks or design templates that include the Client Marks.
Provider IP has the meaning set forth in Section 2.13.
Provider IP means collectively means Trade Secrets, Copy- rights, Patents, Tradenames, Trademarks, Service Marks, Know-How and any other intellectual property rights in and to any Provider Solution, including the Enhancements, the Host Systems, the Provider Data, including the Output, and Instructional Information (or any part, component or expres- sions of any of the foregoing). Provider Materials means all documentation, materials, methodologies, processes, techniques, inventions, ideas, con- cepts, trade secrets, and know-how embodied in the Prod- ucts, or Deliverables, or that Provider Software may develop or supply in connection with the Products, or Deliverables. Quote or Order Form means any document created by Pro- vider and incorporating the General Terms as amended from time to time, in which the Services to be provided under these General Terms are specified (e.g. pricing, scope), including all attachments and supplements thereto.
Provider IP means the SBP Services and any and all intellectual property provided to Dealer in connection with the foregoing. For the avoidance of doubt, Provider IP includes any information, data, or other content derived from Provider’s monitoring of Dealer’s and/or Consumer’s access to or use of the SBP Services but does not include Limited Consumer Information.
Provider IP means the Services, the Documentation, Collection Software, Provider Systems and any and all intellectual property, including all other information, data, documents, materials, works, and other content, devices, methods, processes, hardware, software, and other technologies and inventions, including any deliverables, technical or functional descriptions, requirements, plans, or reports, that are provided or used by Provider or any Subcontractor in connection with the Services or otherwise comprise or relate to the Services or Provider Systems provided to Customer or any Authorized User in connection with the foregoing. For the avoidance of doubt, Provider IP includes Resultant Data and any information, data, or other content derived from Provider's monitoring of Customer's access to or use of the Services, but does not include Customer Data.
Provider IP means the Services, and all intellectual property rights therein.
