Provider Technology definition

Provider Technology means (a) collectively, the systems and application software, middleware, communications links and other devices and technology, owned or controlled by Provider and used in the performance of the Services, and (b) Provider Third Party Technology.
Provider Technology means the computer software, excluding Marketplace Apps, whose Intellectual Property Rights are owned by Provider and its Affiliates, specified in an Order Form and licensed to Company under the terms of this Agreement, including any releases provided as part of the Services and all modifications, additions, and further enhancements thereto delivered by Provider.
Provider Technology means those programs of the Licensed Software and any and all intellectual proprietary rights contained in and related thereto to which are listed in Exhibit "A" attached hereto and incorporated by reference in this Agreement. Notwithstanding this provision or any other provision contained in this Agreement, the Company may modify, enhance and maintain the Provider Technology for use in conjunction with the TM Web Site. In no event shall Provider Technology include any Company Source Content.

More Definitions of Provider Technology

Provider Technology means all Technology created by Provider or its subcontractors prior to or independently of the performance of the Services, or created by Provider its subcontractors as a tool for their use in performing the Services, plus any modifications or enhancements thereto and derivative works based thereon. Except for any Provider Technology contained therein. i It is agreed that, upon payment therefor, all intellectual property, inventions, written or electronically created materials, including manuals, presentations, films, or other copyrightable materials, created by Provider or its subcontractors inarising in relation to Provider’s performance under this contract, and the performance of all of its officers, agents and subcontractors in relation tounder this contract (“Deliverables”), are works for hire for the benefit of the Department, fully compensated for by the contract amount, and that neither the Provider nor any of its officers, agents nor subcontractors may claim any interest in any intellectual property rights accruing under or in connection with the performance of this contract. It is specifically agreed that the Department shall have exclusive rights to all data processing software falling within the terms of section 119.084, F.S., which arises or is developed in the course of or as a result of work or services performed under this contract, or in any way connected herewith. Notwithstanding the foregoing provision, if the Provider is a university and a member of the State University System of Florida, then section 1004.23, F.S., shall apply. To the extent that any Provider Technology is contained in a Deliverable or required by the Department for the operation thereof, Provider grants to the Department, a non-exclusive, perpetual, nontransferable, internal use, license to use such Provider Technology, in perpetuity, solely in connection with the Department’s use of the Deliverables, provided the Department has made payment hereunder for such Deliverable.
Provider Technology shall have the meaning set forth in Article 11.
Provider Technology means any of Provider's proprietary technology, including the data center services, software tools, hardware, designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects, and documentation (both printed and electronic), network designs, know-how, trade secrets, and any related intellectual property rights Provider holds throughout the world (whether owned by Provider or licensed to Provider from a third party) and also including any derivatives, improvements, enhancements, or extensions of Provider Technology conceived, reduced to practice, or developed during the DCT term by Provider. "SLA" or "Service Level Agreements" mean the standards for performance, availability, reliability, quality, and responsiveness that Provider will be required to meet in its performance of the data center services, as those standards are established pursuant to Section 2 of Annex 1, attached hereto and incorporated herein by reference.
Provider Technology means the Engage-proprietary computer software ------------------- programs required for Provider to operate the Data Services which Engage currently owns, controls or has the right to use and which Engage is currently marketing as of the date hereof, which are: Journal Server, Link Server, Knowledge DSS Engine, Knowledge Profile Engine, and Knowledge Report Engine, as well as all updates, upgrades and revisions thereto, including the localized versions thereof. In addition to the foregoing, in the event that Engage intends to license any additional technology not included above in the Territory for which Engage may have the right to so license, Engage shall so notify Provider, and, if requested by Provider within 10 days of receipt of such notification, shall negotiate for a period not to exceed 60 days the terms under which such technology shall be added to this Agreement as Provider Technology. If the parties fail to reach agreement on the addition of such technology hereunder within such 60-day period, Engage shall be free to license such technology to any third party; if an agreement is reached on such terms, such technology shall additionally be Provider Technology under this Agreement.

Provider Technology means certain background knowledge, know how, analytical methods, personnel data, financial information, production notes, computer technical expertise and software which: (a) is independently developed by PROVIDER at any time without use of, reliance on, or reference to CLIENT Technology or CLIENT Confidential Information, including any of the foregoing which relates generally to PROVIDER’S business operations and/or scientific expertise and/or experience in the development, production, and manufacture of products and/or services; and/or (b) arises out of or relates to PROVIDER Technology without use of, reliance on, or reference to CLIENT Technology or CLIENT Confidential Information. PROVIDER Technology is wholly owned by PROVIDER. PROVIDER may utilize PROVIDER Technology to complete the Service(s) set forth in this Agreement. Except as expressly set forth herein, PROVIDER does not grant any right, title or interest in PROVIDER Technology by virtue of the instant Agreement and/or the performance of any Services in connection with this Agreement, whether or not patentable or copyrightable, and associated intellectual property.
