Replacement Funds definition

Replacement Funds has the meaning specified therefor in Section 2.05(d).
Replacement Funds means any moneys specified in Section 5.4 hereof to be Replacement Funds.
Replacement Funds shall have the meaning set forth in Section 6.4.1.

Examples of Replacement Funds in a sentence

  • The Trustee shall restore to Deposited Cash or Replacement Funds, as the case may be, out of rent received by it for that purpose under the provisions of Section 4.04(B)(1), an amount equal to any expenses reasonably incurred in connection with any purchase or sale of Investments and also an amount equal to any loss of principal incident to the sale or redemption of any Investments for a sum less than the amount paid therefor, including accrued interest.

  • Lender’s right to withdraw and apply the FF&E Replacement Funds shall be in addition to all other rights and remedies provided to Lender under the Loan Documents.

  • Upon the request of Lender, Borrower or Owner will provide a detailed written accounting of expenditures for the Annual Budget, in a form customarily maintained by Borrower or Owner in the ordinary course of business and reasonably acceptable to Lender, together with copies of paid invoices for items that have been paid from prior withdrawals of the FF&E Replacement Funds.

  • Lender shall not be required to disburse Replacement Funds more frequently than once each calendar month, nor in an amount less than $250,000 (or a lesser amount if the total amount of Replacement Funds is less than $250,000, in which case only one disbursement of the amount remaining in the account shall be made).

  • Pro Rata Share of the Incremental Liquidity Shares and the Unsubscribed Incremental Liquidity Shares, plus, subject to Section 2.6(a), (ii) its Backstop Replacement Funds if such Backstop Participant is a Participating Backstop Participant.

  • The amount of FF&E Replacement Funds that shall be included in the Annual Budget shall be the product of four (4%) and the Gross Revenues derived from the Property.

Related to Replacement Funds

  • Investment Funds means all monies and financial resources available for investment by the Authority, other than proceeds of bonds issued by the Authority.

  • Current Funds means wire transfers, certified funds or cashier's checks in a form acceptable to the Title Company which would permit the Title Company to immediately disburse such funds.

  • Payment Fund has the meaning set forth in Section 2.02(a).

  • Settlement Funds means Standard Settlement Funds and Maximizing Settlement Funds.

  • Replacement Benchmark means a benchmark rate which is:

  • Client Funds means money deposited by the Client in his/her Trading Account, plus or minus any unrealized or realized profit or loss, plus or minus any amount that is due by the Client to the Company and vice versa.

  • Endowment fund means an institutional fund or part thereof that, under the terms of a gift instrument, is not wholly expendable by the institution on a current basis. The term does not include assets that an institution designates as an endowment fund for its own use.

  • Replacement Assets means (1) substantially all the assets of a Person primarily engaged in a Similar Business or (2) a majority of the Voting Stock of any Person primarily engaged in a Similar Business that will become, on the date of acquisition thereof, a Restricted Subsidiary.

  • Replacement Options has the meaning ascribed thereto in Section 1.1 of the Plan of Arrangement;

  • Interest Funds With respect to each Mortgage Group and any Payment Date, (a) the sum of, without duplication, (1) all interest collected (other than the interest portion of Payaheads and Prepayment Premiums) or advanced in respect of Scheduled Payments on the Mortgage Loans in such Mortgage Group during the related Due Period by the Servicer, the Subservicer, the Master Servicer or the Indenture Trustee (solely in its capacity as successor Master Servicer), minus, (x) to the extent provided under Sections 4.02(e)(3) and (4) and Sections 5.08(i) and (ii) herein, previously unreimbursed Advances and Nonrecoverable Advances due to the Servicer, the Subservicer, the Master Servicer or the Indenture Trustee (solely in its capacity as successor master servicer) to the extent allocable to interest and the allocable portion of previously unreimbursed Servicing Advances with respect to the Mortgage Loans in such Mortgage Group, (y) the Servicing Administration Fee and Master Servicing Fee with respect to such Mortgage Loans in such Mortgage Group and (z) any fees and expenses of any Custodian with respect to the Mortgage Loans in such Mortgage Group to the extent not paid by the Seller or its Affiliates, (2) any Compensating Interest Payments or payments in respect of Prepayment Interest Shortfalls paid by the Master Servicer pursuant to Section 5.21 with respect to the related Prepayment Period with respect to the Mortgage Loans in such Mortgage Group, (3) the portion of any Purchase Price or Substitution Amount paid with respect to the Mortgage Loans in such Mortgage Group during the related Prepayment Period allocable to interest, and (4) all Net Liquidation Proceeds, Insurance Proceeds and any other recoveries collected with respect to the Mortgage Loans in such Mortgage Group during the related Prepayment Period, to the extent allocable to interest, as reduced by (b) such Mortgage Group’s pro rata share of: (i) the Owner Trustee Fee, (ii) any costs, expenses or liabilities reimbursable or otherwise due to the Master Servicer, Servicer, the Subservicer, the Indenture Trustee, any Custodian, the Owner Trustee or the Trust Administrator to the extent provided in this Agreement, the Trust Agreement, the Indenture and any Custodial Agreement and (iii) any Net Swap Payment.

  • Replacement Reserve Account shall have the meaning set forth in Section 7.3.1 hereof.

  • alternative fuels means fuels or power sources which serve, at least partly, as a substitute for fossil oil sources in the energy supply to transport and which have the potential to contribute to its decarbonisation and enhance the environmental performance of the transport sector, including:

  • Replacement Option means an Option that is granted when a Participant uses a Common Share held or to be acquired by the Participant to exercise an Option and/or to satisfy tax withholding requirements incident to the exercise of an Option.

  • Replacement Reserve Monthly Deposit shall have the meaning set forth in Section 7.3.1 hereof.

  • Settlement Fund means the Settlement Amount plus any and all interest earned thereon.

"Alternative fuel" also means any of these fuels used in combination with each other or in combination with other non-diesel fuel.

  • Grant Funds means any and all funds allocated or disbursed to Grantee under this Agreement.

  • Initial Monthly Payment Fund An amount representing scheduled principal amortization and interest at the Net Mortgage Rate for the Due Date in the first Due Period commencing subsequent to the Cut-off Date for those Mortgage Loans for which the Trustee will not be entitled to receive such payment, and as more specifically defined in the Series Supplement.

  • Rollover Contribution Account means the separate Account maintained for a Member to record such Member's share of the Trust Fund attributable to any Rollover Contribution made to the Plan on his behalf.
