Requisite Voting Percentage means, as of any given time, a percentage equal to or greater than the higher of (i) 20 percent and (ii) the percentage of the voting power of the then-outstanding voting securities of the Company entitled to vote generally in the election of directors then beneficially owned by Pharmacia.
