Reverted Products definition

Reverted Products shall have the meaning described in Section 15.2(a).
Reverted Products has the meaning set forth in Section 11.5(d).
Reverted Products means those Licensed Products as to which Cubist or Chiron exercise termination rights pursuant to this Article 13 (and could mean, in any particular context, all of the Licensed Products if this Agreement is terminated in its entirety), and the termReverted Country” shall mean any country within the Territory as to which Cubist or Chiron exercise termination rights pursuant to this Article 13 (and could mean, in any particular context, all of the countries within the Territory if this Agreement were terminated in its entirety or, with respect to any particular Licensed Product, if Chiron’s rights to such Licensed Product are terminated as to all countries within the Territory).

Examples of Reverted Products in a sentence

  • At Intrexon’s request, Oragenics shall promptly: (A) with respect to such Third Party agreements relating solely to the applicable Reverted Products and permitting assignment, immediately assign (or cause to be assigned), such agreements to Intrexon, and (B) with respect to all other such Third Party agreements, Oragenics shall reasonably cooperate to assist Intrexon in obtaining the benefits of such agreements.

  • Oragenics shall transfer to Intrexon all such quantities of Reverted Products without charge, except that Intrexon shall pay the reasonable costs of shipping.

  • To the extent that there exist any regulatory approvals and regulatory filings that relate both to Reverted Products and other products, ZIOPHARM shall provide copies of the portions of such regulatory filings that relate to Reverted Products and shall reasonably cooperate to assist Intrexon in obtaining the benefits of such regulatory approvals with respect to the Reverted Products.

  • At Intrexon’s request, ZIOPHARM shall promptly: (x) with respect to such Third Party agreements relating solely to the applicable Reverted Products, immediately assign (or cause to be assigned), such agreements to Intrexon, and (y) with respect to all other such Third Party agreements, ZIOPHARM shall reasonably cooperate to assist Intrexon in obtaining the benefits of such agreements.

  • At Intrexon’s request, Oragenics shall promptly provide to Intrexon copies of all agreements between Oragenics or its Affiliates and Third Party suppliers, vendors, or distributors that relate to the supply, sale, or distribution of Reverted Products in the Territory.

  • At Intrexon’s request, ZIOPHARM shall promptly provide to Intrexon copies of all agreements between ZIOPHARM or its Affiliates and Third Party suppliers, vendors, or distributors that relate to the supply, sale, or distribution of Reverted Products in the Territory.

  • ZIOPHARM shall transfer to Intrexon all such quantities of Reverted Products without charge, except that Intrexon shall pay the reasonable costs of shipping.

Reverted Products means: (a) all Therapeutic Products for a Selected Disease for which deCODE terminates this Agreement pursuant to Section 14.6(a)(i) prior to the first Registration in any Major Country of a Therapeutic Product for such Selected Disease; (b) all Therapeutic Products in a given Major Country for a Selected Disease for which deCODE terminates this Agreement in the Major Country pursuant to Section 14.6(a)(ii) after the first Registration in any Major Country of a Therapeutic Product for such Selected Disease; (c) all Diagnostic Products for a Selected Disease for which deCODE terminates this Agreement pursuant to Section 14.6(b)(i) prior to the first Registration in any Major Country of a Diagnostic Product for such Selected Disease; (d) all Diagnostic Products in a given Major Country for a Selected Disease for which deCODE terminates this Agreement in the Major Country pursuant to Section 14.6(b)(ii) after the first Registration in any Major Country of a Diagnostic Product for such Selected Disease; (e) a given Roche Product in a given country for which deCODE terminates this Agreement pursuant to Section 14.7 after Registration in such country of such Roche Product; (f) all Therapeutic Products for a Selected Disease for which a Validated Target was obtained as of the effective date of termination of this Agreement by deCODE pursuant to Section 14.5(a)(iii)(2); and (g) all Diagnostic Products for diagnosing a Disease that was a Selected Disease as of the effective date of termination of this Agreement by deCODE pursuant to Section 14.5(a)(iii)(2). Notwithstanding the foregoing, a Reverted Product shall not include a Roche Product which comprises a Roche Compound that, at the effective date of such termination, is being marketed, prepared for commercial launch or in clinical development or for which Roche, its Affiliate or sublicensee can document a substantial plan to clinically develop (provided that such Roche Compound is a Clinical Candidate), for an indication in a Selected Disease if Roche, its Affiliate or sublicensee, at the effective date of such termination, is then marketing, preparing for commercial launch, clinically developing, or can document a substantial plan for clinically developing a given product for the same indication; provided, that such given product, at the Effective Date, was not being marketed in any country by Roche, an Affiliate or sublicensee.

Related to Reverted Products

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • Licensed Compounds means: (a) Research Program Active Compounds; (b) Novartis Active Compounds; (c) salts, hydrates, solvates, esters, metabolites, intermediates, stereoisomers and polymorphs of Research Program Active Compounds or Novartis Active Compounds; and (d) prodrugs of Research Program Active Compounds or Novartis Active Compounds (any of the foregoing, a “Licensed Compound”).

  • Designated Products means products provided by Motorola to Licensee with which or for which the Software and Documentation is licensed for use.

  • Hemp products means all products made from industrial hemp,

  • New Products means any product which is not an Enhanced Product or 2 Existing Product but which is substantially similar to an Existing Product with respect to design and function and possesses reasonable performance improvements.   • Licensed producer means an agent, broker, or reinsurance intermediary licensed pursuant to the applicable provision of the insurance law of any jurisdiction.

  • Commercializing means to engage in Commercialization and “Commercialized” has a corresponding meaning.

  • Cannabis products means cannabis that has undergone a process whereby the plant material has been transformed into a concentrate, including, but not limited to, concentrated cannabis, or an edible or topical product containing cannabis or concentrated cannabis and other ingredients.

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.

  • Licensed Fields of Use means the fields of use identified in Appendix B.

  • Commercialize or “Commercialization” means the marketing, promotion, sale (and offer for sale or contract to sell), distribution, importation or other commercial exploitation (including pricing and reimbursement activities) for a Product in the Territory. Commercialization shall include commercial activities conducted in preparation for Product launch.

  • Product Trademark means one or more trademarks or logos that are used for the Commercialization of a Product in the Field in the Territory.

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Marijuana products means concentrated marijuana products and marijuana products that are comprised of marijuana and other ingredients and are intended for use or consumption, such as, but not limited to, edible products, ointments, and tinctures.

  • Competing Products means any product or service in existence or under development that competes with any product or service of the Company Group about which the Participant obtained Confidential Information or for which the Participant provided advisory services or had sales, origination, marketing, production, distribution, research or development responsibilities in the last twenty-four (24) months of employment with the Company Group.
