Seller Content definition

Seller Content means (i) URLs, domain names, on-screen layouts, keywords, links, pointers and other navigational elements, product/service categories and descriptions, editorial copy, text, photos, graphics, images, artwork, videos, audio content, advertisements and promotions, manuals and other documents, reports and analyses, artistic designs, textual materials and articles, and other tangible, visual or audible works of any nature, (ii) technology, HTML formatting code, source and object code, programming code and software, and data, and (iii) any modifications, extensions, updates and replacements of (i) or (ii), all of which are created by or on behalf of, owned, controlled or provided by, or licensed (other than by Buyer) to, Seller. “Seller Marks” means trade names, trademarks, service marks, logos, trade dress, and other similar indicia of origin owned or controlled by, or licensed (other than Buyer Marks (as defined in subsection d below)) to Seller and the goodwill associated therewith. Any and all suggestions for correction, improvements and modifications to Services and other feedback (including any written or oral statement containing praise, gratitude or criticism that Buyer authorizes Seller to quote in Seller’s marketing collateral), and information and reports provided to Seller by Buyer, are and remain the property of Seller. By giving suggestions or feedback, Buyer does not earn any right, title or interest in Services, Seller’s Intellectual Property, or such feedback.
Seller Content means all images, videos, text, Merchandise descriptions, and Merchandise-related data uploaded by Seller to create its Merchandise Listings.
Seller Content means all information (in all current and future formats) created by a Seller, submitted to and/or published by Tootle on the Website, including, without limitation, photographs, messages, comments, reviews, profiles, and documents.

  • Upon AWS’s request, Distribution Seller will provide reasonable assistance to Distributor and AWS in connection with removing or disabling access to Distribution Seller Content that violates the Acceptable Use Policy.

  • Seller’s Intellectual Property includes Seller Content, Seller Data, Seller Marks, Services, and all of their components and elements, except to the extent they include or incorporate Buyer’s Intellectual Property.

  • Except as set out in the Terms, and to the extent permitted by applicable law, ServiceOnline is not involved in the actual transaction between Seller and Buyers nor is ServiceOnline obliged to verify the accuracy, completeness and legality of the Seller Content published on the Platform.

  • Seller agrees that any and all Seller Content may be publicly displayed by XxxxxxxxXxxxxxxx.xxx as XxxxxxxxXxxxxxxx.xxx sees fit and at no charge to XxxxxxxxXxxxxxxx.xxx.

  • Except as set out in the Terms, and to the extent permitted by applicable law, AgendasuriaMall is not involved in the actual transaction between Seller and Buyers nor is AgendasuriaMall obliged to verify the accuracy, completeness and legality of the Seller Content published on the Platform.

  • Within (3) three weeks from the opening of the account, Seller will be required to upload all necessary Seller Content and prepare the Seller storefront to go live on the Site.

Seller Content means all images, product information and content including without limitation, the product data, (i) provided by Seller to XxxxxxxxXxxxxxxx.xxx or its Affiliates for use in connection with the Marketplace Program and (ii) otherwise made available by Seller to Customer on the XxxxxxxxXxxxxxxx.xxx Site (e.g. through Seller's distribution or hosting of such images, content or information).

  • User Content means any comments, remarks, data, feedback, content, text, photographs, images, video, music, or other content or information that you or any Site Visitor or User post to any part of the Site or provide to Upwork, including such content or information that is posted as a result of questions.

  • Customer Content means all software, data (including personal data), information, text, images, audio, video, photographs, non-AVEVA or third-party applications, and other content and material, in any format, provided by Customer, any of Customer’s users, or on behalf of Customer that is stored in, or run on or through, the Products and Support Services.

  • Licensed Content means those articles or other parts of a Licensed Title which form part of the content licensed in accordance with the Order (including all content published during the Subscription Period or other period specified in the Order to which access and use rights are granted under this Licence, and including all Previously Subscribed Material).

  • Recycled content means the percentage of a product composed of recovered material, or post- consumer recovered material, or both.

  • Third Party Content means all software, data, text, images, audio, video, photographs and other content and material, in any format, that are obtained or derived from third party sources outside of Oracle that You may access through, within, or in conjunction with Your use of, the Services. Examples of Third Party Content include data feeds from social network services, rss feeds from blog posts, Oracle data marketplaces and libraries, dictionaries, and marketing data. Third Party Content includes third-party sourced materials accessed or obtained by Your use of the Services or any Oracle-provided tools.

  • Seller Contracts means all Contracts (i) relating to the Business under which Seller has or may acquire any rights or benefits, (ii) relating to the Business under which Seller has or may become subject to any obligation or Liability or (iii) by which any of the Purchased Assets or Assumed Liabilities is or may become bound.

  • Seller Use means fuel used for gas compression, LPG plants and LNG plants, other gas needed by Seller's facilities to furnish the requirements of Buyers, together with unaccounted for gas. This gas shall be considered included in Priority of Service Category 1. Other vital uses of Seller, such as flame stabilization requirements, will be met as long as such uses do not jeopardize service to its firm service Buyers.

  • Seller Contract any Contract (a) under which Seller has or may acquire any rights or benefits; (b) under which Seller has or may become subject to any obligation or liability; or (c) by which Seller or any of the assets owned or used by Seller is or may become bound.

  • Seller Marks has the meaning set forth in Section 6.4.

  • Company Content means all editorial content, graphics, data, and information contained in the Report or on the Website, any portion thereof, including the selection, coordination, and arrangement of the editorial content, graphics, data, and information on the Website, and the hierarchy of the Website.

  • Seller IP means (a) all Intellectual Property Rights in or pertaining to the Seller Products or methods or processes used or incorporated in the Seller Products, and (b) all other Intellectual Property Rights owned by or exclusively licensed to the Seller.

  • Imported content means that portion of the bidding price represented by the cost of components, parts or materials which have been or are still to be imported (whether by the supplier or his subcontractors) and which costs are inclusive of the costs abroad, plus freight and other direct importation costs such as landing costs, dock dues, import duty, sales duty or other similar tax or duty at the South African place of entry as well as transportation and handling charges to the factory in the Republic where the supplies covered by the bid will be manufactured.

  • Artwork has the meaning set forth in Section 1.6(a).

  • End User Data means any information or data of any kind that personally identifies (or that can be used, together with other information or data, to personally identify) an End User.

  • Buyer Data means all data, records, files, information or content, including text, sound, video, images and software, that is (a) input or uploaded by Buyer or its Users to or collected, received, transmitted, processed, or stored by Buyer or its Users using the Software or SaaS Service in connection with this Agreement, or (b) derived from (a). Buyer Data is Confidential Information of Buyer.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Company Software means Software owned or purported to be owned by or developed by or for the Company or any Company Subsidiary.

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Customer Contracts has the meaning set forth in Section 1.1(b)(ii)(A).

  • Product Data are illustrations, standard schedules, performance charts, instructions, brochures, diagrams, and other information furnished by the Contractor to illustrate materials or equipment for some portion of the Work.

  • digital content means data which are produced and supplied in digital form;

  • Transferred Technology has the meaning set forth in Section 2.3(a).

  • Seller Consents has the meaning set forth in Section 3.03.

  • Authority Software means software which is owned by or licensed to the Authority, including software which is, or will be used by the Contractor for the purpose of providing the Services but excluding the Contractor Software.

  • Company Products means each product (including any hardware, Software and firmware product) or service developed, manufactured, sold, licensed, leased or delivered by the Company or any of its Subsidiaries.

  • SAP Group Software means (i) any and all software products listed on the Price List as well as any SAP SDK which are provided by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) under any part of this Agreement all as developed by or for the SAP Group; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to Maintenance Services or warranty obligation by any member of the SAP Group; and (iii) any complete or partial copies of any of the foregoing.
