Servicer to Cooperate. The Servicer hereby agrees to cooperate with the Trustee or any successor to the Servicer appointed in accordance with Section 8.03 hereof, as applicable, in effecting the termination and transfer of the responsibilities and rights of the Servicer hereunder to the Trustee or any successor to the Servicer, including, without limitation, the execution and delivery of assignments of Financing Statements, and the transfer to the Trustee or the successor to the Servicer for administration by it of all cash amounts which shall at the time be held by the Servicer or thereafter received with respect to the Leases. The Servicer hereby agrees to transfer to any successor to the Servicer its electronic records and all other records, correspondence and documents relating to the Leases and Equipment in the manner and at such times as the successor to the Servicer shall reasonably request. The Servicer hereby designates the Trustee and any successor to the Servicer its agent and attorney-in-fact to execute transfers of Financing Statements (including any and all Financing Statements naming an individual Lessee as debtor and the Servicer as secured party) and any other filings or instruments which may be necessary or advisable to effect such transfer of the Servicer's responsibilities and rights hereunder.
Servicer to Cooperate. Each Servicer shall provide to the Master Servicer the information set forth in Exhibit H, and any other information the Master Servicer requires, in such form as the Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than (i) with respect to a Servicer other than Xxxxx Fargo, twelve noon on the Data Remittance Date, and (ii) with respect to Xxxxx Fargo, on the Data Remittance Date, to enable the Master Servicer to provide such information to the Trust Administrator. The Master Servicer, with respect to the Mortgage Loans, shall provide to the Trust Administrator the information set forth in Exhibit H in such form as the Trust Administrator shall reasonably request no later than twelve noon on the Data Remittance Date to enable the Trust Administrator to calculate the amounts to be distributed to each Class of Certificates and otherwise perform its distribution, accounting and reporting requirements hereunder.
Servicer to Cooperate. The Servicer shall provide to the Trustee information which is mutually agreeable to the Trustee and the Servicer with respect to each Mortgage Loan serviced by the Servicer no later than the second Business Day following the Determination Date necessary to enable the Trustee to perform its distribution, accounting and reporting requirements hereunder.
Servicer to Cooperate. Each Servicer, other than WMMSC, shall provide to the Master Servicer the information set forth in Exhibit H, and any other information the Master Servicer requires, in such form as the Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than (i) with respect to a Servicer other than WFHM, twelve noon on the Data Remittance Date, and (ii) with respect to WFHM, on the Data Remittance Date, to enable the Master Servicer to provide such information to the Trust Administrator. The Master Servicer, with respect to the Mortgage Loans which are not WMMSC Serviced Mortgage Loans, and WMMSC, with respect to the WMMSC Serviced Mortgage Loans, shall provide to the Trust Administrator the information set forth in Exhibit I in such form as the Trust Administrator shall reasonably request no later than twelve noon on the Data Remittance Date to enable the Trust Administrator to calculate the amounts to be distributed to each Class of Certificates and otherwise perform its distribution, accounting and reporting requirements hereunder.
Servicer to Cooperate. The Servicer acknowledges that the Owner may convey Mortgage Loans in connection with one or more Securitization Transactions. With respect to each Securitization Transaction entered into by the Owner or any Affiliate of the Owner, the Servicer agrees:
(a) to cooperate fully with the Owner, the Master Servicer, the Trustee, any prospective purchaser, any Rating Agency or any party to any agreement executed in connection with such Securitization Transaction with respect to all reasonable requests and due diligence procedures, and to use its best efforts to facilitate such Securitization Transaction;
(b) to execute as servicer or subservicer as the case may be, all applicable agreements executed in connection with such Securitization Transaction that govern the servicing and administration of the Mortgage Loans (and any agreements and other documents incidental thereto, including officer’s certificates) (“Reconstitution Agreements”) as the Owner shall reasonably request, which Reconstitution Agreements shall contain provisions substantially similar to those set forth herein and shall inure to the benefit of the parties to such Securitization Transaction, including without limitation, the Master Servicer, the Trustee and any other third parties. All terms and conditions of any Reconstitution Agreement shall be reasonably acceptable to the Servicer and shall not expand or increase the Servicer’s duties, liabilities, or obligations hereunder in any material respect; provided, however, that the Servicer hereby agrees to track Mortgage Loan proceeds and to make all such remittances, and provide all such reports, to each of the Owner, the Master Servicer, the Trustee as the Owner may reasonably prescribe in such Reconstitution Agreements.
(c) to restate on the closing date for a Securitization the representations and warranties contained in Article VII of this Agreement;
(d) if requested by the Owner, to deliver to the Owner and to any Person designated by the Owner, at the expense of the Owner, such statements and audit letters of reputable, certified public accountants pertaining to the written information provided by the Servicer pursuant to this Agreement as shall be requested by the Owner or its Affiliate;
(e) if requested by the Owner, to deliver to the Owner or any Person designated by the Owner at the expense of the Owner, such Opinions of Counsel as are customarily delivered by originators and/or servicers in connection with Securitization Transactions; a...
Servicer to Cooperate. Each Servicer, other than WMMSC, shall provide to the Master Servicer, and WMMSC and the Master Servicer shall each provide to the Trust Administrator, the information set forth in Exhibit G in such form as the Trust Administrator shall reasonably request with respect to each Mortgage Loan serviced by the Master Servicer or such Servicer no later than twelve noon on the (1) with respect each Servicer, the Data Remittance Date and (2) with respect to the Master Servicer, no later than seven calendar days prior to the related Distribution Date, to enable the Trust Administrator to calculate the amounts to be distributed to each class of certificates and otherwise perform its distribution, accounting and reporting requirements hereunder.
Servicer to Cooperate. If the conditions set forth in Section 3.19 of the Sale and Servicing Agreement are satisfied, the Servicer shall cooperate and undertake all functions necessary to effectuate a servicing transfer to the Subservicer.
Servicer to Cooperate. The Servicer shall provide to the Trustee the information set forth in Exhibit Z hereto in such form as the Trustee shall reasonably request with respect to each Mortgage Loan no later than twelve noon on the Servicer Data Remittance Date to enable the Trustee to calculate the amounts to be distributed to each Class of Certificates and otherwise perform its distribution, accounting and reporting requirements hereunder.
Servicer to Cooperate. Each Servicer, other than WMMSC, shall provide to the Master Servicer the information set forth in Exhibit H, in such form as the Master Servicer and the Servicer shall agree upon with respect to each Mortgage Loan serviced by the Servicer, no later than twelve noon on the Data Remittance Date. The Master Servicer and WMMSC shall each provide to the Trust Administrator the information set forth in Exhibit H, in such form as the Trust Administrator shall reasonably request, with respect to WMMSC, each Mortgage Loan serviced by it or, with respect to the Master Servicer, all the other Mortgage Loans no later than (1) with respect to WMMSC, the applicable Data Remittance Date and (2) with respect to the Master Servicer, no later than seven calendar days prior to the related Distribution Date, to enable the Trust Administrator to calculate the amounts to be distributed to each class of certificates and otherwise perform its distribution, accounting and reporting requirements hereunder.
