More Definitions of Shrink Wrap Licenses

Shrink Wrap Licenses means third-party Software licenses for non-customized, “off-the-shelf” Software that is generally commercially available to the public with annual royalties or other fees not exceeding $50,000.

Shrink Wrap Licenses means Contracts pursuant to which the Company or any Company Subsidiary has received a license to generally commercially available Software, for less than $25,000 in the aggregate per annum and which Software is not incorporated into a Company Product.

Tax Shall mean any net income, corporate, personal income, net wealth (capital taxes), capital gains, capital acquisitions, inheritance, deposit interest retention, gift, relevant contracts, alternative minimum, add-on minimum, gross income, gross receipts, sales, use, goods and services, harmonized sales, value added, ad valorem, transfer, franchise, profits, license, withholding (including on dividends and deemed dividends), estimated, payroll, employment, social security contributions, governmentally mandated pension plan contributions, excise, severance, stamp, occupation, premium, property, environmental or windfall profit tax, custom duty, import and export taxes, or other tax, or similar governmental assessment or charge, together with any interest or any penalty, addition to tax or additional amount imposed by any Tax Authority. Tax Authority Shall mean a Governmental Authority responsible for the imposition of any Tax (whether domestic or foreign). Tax Return Shall mean any return, estimate, form, information statement or report, including amendments thereof and attachments and schedules thereto required to be filed with respect to Taxes. Technology Shall have the meaning set forth in Section 2.8(a).

Shrink Wrap Licenses means an Intellectual Property license agreement for the use of software widely available at software retailers and where the user agrees to its terms by opening the package of or downloading such software or similarly manifesting consent to the licensor’s standard terms.

Shrink Wrap Licenses means licenses for off-the shelf shrinkwrap or clickwrap licenses, as well as any other generally commercially available Software at a cost less than $250,000 in the aggregate over the initial term of the Contract, or $50,000 annually.
