There is no injunction, order, judgment or decree imposed upon any Sponsored Fund or, to the Knowledge of the Company, any Sub-Advised Fund that would materially impair the ability of the Fund to continue to operate its business as currently conducted, except as would not, individually or in the aggregate, be Material to a Reasonable Investor.
Capital Income or Capital Loss, as the case may be, and each related item of income, gain, loss and deduction, for each Accounting Period that is attributable to any Sponsored Fund shall be allocated to the Members in proportion to their respective SF Seed Capital Contributions with respect to such Sponsored Fund at the beginning of such Accounting Period.
To the extent that the Company is required to return any Returned Capital related to a Sponsored Fund pursuant to the governing documents of such Sponsored Fund or related Underlying Manager, each Member shall return such Returned Capital in the same proportions that they were distributed to such Member pursuant to Section 5.1(a).
Returned Capital attributable to any Sponsored Fund shall be distributed to the Members in proportion to their respective SF Seed Capital Contributions with respect to such Sponsored Fund.
Each Sponsored Fund is qualified to do business in each jurisdiction where it is required to be so qualified under Applicable Law and in which failure to be so qualified could be material to such Sponsored Fund.
