Sponsored Fund means, with respect to each Underlying Manager, each investment fund, investment vehicle, separately managed account or similar arrangement sponsored by the Underlying Manager in respect of which the Company is, directly or indirectly, entitled to Returned Capital and/or Revenue Share Proceeds.

Sponsored Fund means any Registered Fund, BDC or Unregulated Fund for which the Company or any of its Subsidiaries acts as sponsor or any wholly owned Subsidiaries thereof.

• Returned Capital attributable to any Sponsored Fund shall be distributed to the Members in proportion to their respective SF Seed Capital Contributions with respect to such Sponsored Fund.

• Each Sponsored Fund is qualified to do business in each jurisdiction where it is required to be so qualified under Applicable Law and in which failure to be so qualified could be material to such Sponsored Fund.

Sponsored Fund means any Fund a majority of the officers of which are employees of the Company Entities or of which a Company Entity serves as trustee; with respect to a Private Fund, where a Company Entity serves as investment adviser, general partner, managing member, trustee, manager or person performing a similar role; or with respect to a Public Fund that is not a U.S. Public Fund, where a Company Entity serves as investment manager. For the avoidance of doubt, a Fund with respect to which a Company Entity is acting as sub-adviser or sub-manager or with authority delegated to it by another investment adviser shall not be deemed for that reason alone to be a Sponsored Fund.

Sponsored Fund means any investment fund, investment vehicle, managed account or other initiative (with respect to which the Galaxy Group will receive a management fee, carried interest, incentive fee and/or similar economic arrangement) to be sponsored by the Galaxy Group.
