Supplier IPR definition

Supplier IPR means all Intellectual Property Rights subsisting in documents, products and materials developed by the Supplier or its agents as part of delivery of the Services;

Examples of Supplier IPR in a sentence

  • Subject to payment of Charges and excluding Supplier IPR and Third Party Materials (as defined below), the Customer shall own and retain all rights, title and interest in and to the Developed Materials that are identified as Developed Materials under a schedule (or Service Schedule) agreed between the Parties in writing.

  • Any derivative works, modifications, enhancements or improvements to the Supplier IPR (or related documentation) and made available to the Customer pursuant to this Agreement shall be deliverables.

  • Subject to the Client’s compliance with the terms of the Agreement, the Supplier grants to the Client a worldwide, non-sublicensable (other than to the Authorised Users), revocable, non-transferable licence to use the Supplier IPR for the duration of the Subscription Term solely to the extent necessary for the Client to use the Platform in accordance with the Agreement.


More Definitions of Supplier IPR

Supplier IPR means the IPR owned by the Supplier and relating to the Supplier System, its documentation, processes, procedures and know how and all other Supplier Background IPR.
Supplier IPR means any and all Intellectual Property Rights owned or licensed to the Supplier.

Supplier IPR means all intellectual property rights of the Supplier in and to the Goods and/or Services and any drawings, calculations or documents contained within them or generated as a result of the Goods or Services (including, without limitation, operation and maintenance manuals and as built drawings).
