Transferred Documentation definition

Transferred Documentation means the tangible or electronic embodiments of the Technology and Transferred Software provided to Buyer pursuant to this Agreement or any of the Ancillary Agreements, and all files and documentation relating to any of the Transferred IP, including Patent docket files and correspondence with any Governmental Authority regarding any Registered IP in the Transferred IP.
Transferred Documentation means the following filings and submissions by Seller with the FDA, in each case to the extent related solely and exclusively to the Products and in Seller’s possession as of the Closing Date, all as listed on Appendix C hereto: (a) field alerts and other filings related to a product complaint, adverse event reports, medical inquiry filings, blank/sample batch records and analytical procedures, (b) the Anusol ANDA and (c) other filings and submissions by Seller with the FDA during the three (3) year period prior to the Closing Date.
Transferred Documentation means, collectively, all written materials (and machine-readable text subject to human-readable display or printout, but excluding software) that are owned by Sellers and that relate to Transferred Software, the Products or the Services. Transferred Documentation shall include the technical information set forth in Section 1.24 of the Disclosure Schedule and any other documentation used or produced in, or associated with, the development, maintenance or marketing of any of the Transferred Software, the Products or the Services, including design or development specifications, knowledge bases, flow charts, error reports, support call reports, bug tracking reports and related correspondence and memoranda.

Examples of Transferred Documentation in a sentence

  • To the Knowledge of the Seller, the Transferred Documentation includes complete and accurate copies of all applications, correspondence, and other material documents related to each such item of Registered IP.

  • Seller shall deliver all original Leases, Transferred Contracts, Transferred Permits, Transferred Documentation and plans and specifications for the Improvements and all tenant occupied space within the Improvements.

More Definitions of Transferred Documentation

Transferred Documentation means, collectively, all written materials (and machine-readable text subject to human-readable display or printout, but excluding software) that are owned by Seller or a Selling Subsidiary and that relate to Transferred Software. "Transferred Intellectual Property" means all right, title and interest in and to (i) the Transferred Patents; (ii) the Transferred Trademarks; (iii) the Transferred Copyrights; (iv) the Transferred Trade Secrets; (v) the Network Identifiers and (vi) Other Transferred Intellectual Property. "Transferred Patents" means all Patents, that are owned individually or jointly by Seller or any Selling Subsidiary, or are invented by Seller's or any Selling Subsidiary's employees or by third parties on behalf of Seller or any Selling Subsidiary and yet to be assigned to Seller or any Selling Subsidiary as of the Closing Date, that cover or are embodied in the technology or processes that relate primarily to the Products or primarily to the operation of the Business as presently conducted, and are set forth in Section 1.01(q) of the Disclosure Schedule. "Transferred Software" means all of the computer software, including source code and object code, that is owned by Seller or a Selling Subsidiary and used, held for use or intended for use primarily in connection with the Business (other than the Business Software) as presently conducted, all as set forth in Section 1.01(k) of the Disclosure Schedule. "Transferred Trade Secrets" means confidential information, trade secret and know-how rights owned individually or jointly by Seller or any Selling Subsidiary, or developed by Seller's or any Selling Subsidiary's employees, that are embodied in any Products (software or otherwise), inventions, formulae, test information, market surveys, know-ho...

Transferred Documentation means all documents submitted by the Client to the Supplier prior to signing the Agreement. By signing the Agreement, the Supplier states that it is properly acquainted with the Transferred Documentation.
Transferred Documentation means all documentation, whether in hard-copy or electronic form, which the Seller owns, has rights to or has in its possession, pertaining to the validation, approval, analysis, manufacture, marketing or distribution of any of the Products, including, but not limited to, all of the following with respect to each of the Products, complete: (a) regulatory filings and supporting documents, correspondence sent to and from regulatory authorities, warnings and notices from regulatory authorities, chemistry, manufacturing and controls data and documentation, preclinical and clinical studies and tests, including, without limitation, the master batch records, for each Product, analytical test methods and validation reports, stability data and change controls; (b) supplier and customer lists; (c) records maintained under record keeping or reporting requirements of the FDA, DEA, any other Governmental Authority or under Applicable Law; (d) field alerts, investigational reports, complaint, adverse event and medical inquiry filings and records with respect to the Products; and (e) if the Product has an ANDA, a complete copy of such ANDA for such Product.

Transferred Documentation shall have the meaning assigned to such term in Section 2.2(a)(4) of this Agreement.

Related to Transferred Documentation

  • Related Documentation means, with respect to Software, all materials, documentation (including control documentation utilized in connection with an audit), specifications, technical manuals, user manuals, flow diagrams, file descriptions and other written information that describes the function and use of such Software, but excluding source code.

  • User Documentation means explanatory and informational materials concerning the Company products, in printed or electronic format, which the Company or any Subsidiary has released for distribution to end users with such Company products, which may include manuals, descriptions, user and/or installation instructions, diagrams, printouts, listings, flow-charts and training materials, contained on visual media such as paper or photographic film, or on other physical storage media in machine readable form.

  • Program Documentation refers to the user manuals, help windows, readme files for the Services and any Oracle Software. You may access the documentation online at xxxx://xxxxxx.xxx/contracts or such other address specified by Oracle.

  • Transfer Documents shall have the meaning set forth in Section 2.1(b).

  • Participant Documentation means the agreements (together with any applicable schedules, exhibits or appendices thereto required by BSEF) in form and substance acceptable to BSEF, that are required to be executed and delivered to BSEF before a Person may access the SEF operated by BSEF as a Participant. Participant Documentation shall not include DMA Customer Documentation.

  • Flood Documentation means, with respect to each Mortgaged Property located in the United States of America or any territory thereof, (i) a completed “life-of-loan” Federal Emergency Management Agency standard flood hazard determination (to the extent a Mortgaged Property is located in a Special Flood Hazard Area, together with a notice about Special Flood Hazard Area status and flood disaster assistance duly executed by the Borrower and the applicable Loan Party relating thereto) and (ii) a copy of, or a certificate as to coverage under, and a declaration page relating to, the insurance policies required by Section 5.02(c) hereof and the applicable provisions of the Security Documents, each of which shall (A) be endorsed or otherwise amended to include a “standard” or “New York” lender’s loss payable or mortgagee endorsement (as applicable), (B) name the Collateral Agent, on behalf of the Secured Parties, as additional insured and loss payee/mortgagee, (C) identify the address of each property located in a Special Flood Hazard Area, the applicable flood zone designation and the flood insurance coverage and deductible relating thereto and (D) be otherwise in form and substance reasonably satisfactory to the Collateral Agent.

  • Seller Ancillary Agreements means all agreements, instruments and documents being or to be executed and delivered by Seller under this Agreement or in connection herewith.

  • Purchaser Documents has the meaning set forth in Section 6.2.

  • L/C Related Documents has the meaning specified in Section 2.06(b)(i).

  • Assigned Documents has the meaning assigned to that term in Section 2.12.

  • Seller Ancillary Documents means any certificate, agreement, document or other instrument, other than this Agreement, to be executed and delivered by the Seller or any Affiliate of the Seller in connection with the transactions contemplated hereby, including, but not limited to the Transaction Documents.

  • Required Documents means those documents identified in Section 2(I) of the Custodial Agreement.

  • Product Documentation means the specific materials listed under “Documentation” at
