Unallocated Shares definition

Unallocated Shares has the meaning given to it in paragraph 17.1 of the Implementation Plan.

Unallocated Shares has the meaning set forth in Section 11(c)(2)(B) of this Agreement.

Unallocated Shares means, with respect to a Management Securityholder and an offering pursuant to Section 4.1 and 4.2, a number of Registrable Shares equal to the difference between (1) the lesser of (y) the Pro Rata Amount of Registrable Shares owned (or issuable upon a Cashless Exercise (pursuant to clause (a) of the definition thereof) of Options owned based on a Share price equal to the per Share price at which the MSCP Securityholders sold Shares in such offering) by such Management Securityholder at the 2004 Closing and (z) the number of Registrable Shares such Management Securityholder requested to include, and had a bona fide intent to sell, in such offering pursuant to Section 4.1 or 4.2 and (2) the number of Registrable Shares actually sold by such Management Securityholder in such offering, and

• By completing, signing, and returning this voting instruction card I instruct the Trustee to vote all Allocated Shares as well as all Non-directed and Unallocated Shares of common stock the same way.

• Any other dividend or distribution made with respect to the shares of Stock held in the Trust shall be distributed to the Trustee and delivered by the Trustee to the Company for disposition by the Company (i) in the case of Allocated Shares, in accordance with the Plan and awards granted thereunder, and (ii) in the case of Unallocated Shares, as determined by the Company in its discretion.

More Definitions of Unallocated Shares

Unallocated Shares means the shares of Company Common Stock that have not been allocated to the account of any participant in the ESOP as of the Effective Time.

Unallocated Shares refers to those 36 rights in Lake Loveland and 20 shares in Seven Lakes owned by the Great Western Sugar Company during the Xxxxxxx Study Period, and 20 rights in Lake Loveland owned by Xxxxxx Ditch Company during the Xxxxxxx Study Period. The table attached as Exhibit C summarizes the characteristics, including certificate numbers from the Xxxxxxx Study Period except for the Lake Loveland rights which are the current certificate numbers, of the Unallocated Shares. The total numbers of outstanding shares or contract rights, as applicable, within each company are as follows: 1,672 GLIC shares (direct flow), 1,648 GLIC-Xxxx shares (storage), 300 Lake Loveland rights, and 400 Seven Lakes shares.

Unallocated Shares means Longs Drug Stores Stock acquired by the Trust Fund that has not been allocated to Accounts under the Plan.

Unallocated Shares means a number of shares equal to 10,000,000 minus the number of shares allocated to additional guarantors pursuant to the previous sentence.

Unallocated Shares means shares of Employer Stock not allocated to the Participant's Total Account as described in Section 409(p)(4)(C)(i)(II) of the Code and the regulations issued with respect thereto.

Unallocated Shares means shares of Company Stock that are being held in the Loan Suspense Account.

Unallocated Shares shall have the meaning ascribed to such term in Section 2.2(a).
