Weather Delay Day definition

Weather Delay Day means a Day during which: (i) wind speeds above the limits the lift plan for that specific crane interfere with and prevent the safe movement (including the lifting) of WTG components; (ii) wind speeds above the limits set forth in the Turbine Supply Agreement that interfere with and prevent the performance of work necessary to achieve WTG Mechanical Completion; or (iii) other unusually severe or not reasonably anticipated inclement weather or cumulative weather events that prevents or interferes with the performance of Contractor or any of its Subcontractors if such effect can be demonstrated by Contractor as having a material adverse effect on the Project Schedule’s Critical Path. The existence of a Weather Delay Day shall be determined in increments of half of the work day otherwise scheduled. For the purpose of clarity, such half-day increment shall be defined by Contractor or any of its Subcontractors as the number of half work day increment hours on a Day in which Work was originally scheduled. In the event the weather event continues for more than the defined number of half work day increment hours in a Day, such period will be deemed to be a full Day.
Weather Delay Day means a day during which Work is scheduled but cannot be performed safely for at least one-half of the scheduled work shift due to (i) sustained wind speeds exceeding the limit specified by applicable OSHA regulations, (ii) lightning storms, or (iii) rainfall or snowfall that substantially exceeds the normal amount for the time of year. The existence of Weather Delay Days shall be determined in half-day increments.

More Definitions of Weather Delay Day

Weather Delay Day means a day during which wind speeds (as measured at the Site both hand held and at crane tip) are over the speeds described here below, or there are other severe weather conditions at the Site (such as heavy snow, heavy rain or fog), and as a result the unloading, assembly and/or erection of the WTG tower, nacelle or rotor at the Site cannot be performed. 15 m/s will be used for the unloading crews 12 m/s will be used for the Turbine tower and nacelle erection crews A Weather Delay Day may only occur on days when: (a) Turbines are scheduled to be unloaded, assembled and erected; (b) wind speeds are at the levels described above or the severe weather conditions referenced above actually prevent Servicer from performing activities involving cranes or other lifting devices at the project site for a period in excess of four (4) hours during working hours within a day. The Programme and/or the Contract Price shall be adjusted in the following manner for any Weather Delay Days: The determination of whether a Weather Delay Day has occurred according to the definition of “Weather Delay Day” above must be made as soon as possible. On the day on which the wheather conditions cause such day to be the Weather Delay Day the Servicer shall immediately notify the Buyer of its determination that there is a Weather Delay Day. The Parties will agree whether there is a Weather Delay Day as soon as reasonably practical based on the data collected and documented by the Servicer. Servicer shall use commercially reasonable efforts to mitigate any adverse impact to the Programme resulting from Weather Delay Days, which may include reassignment of personnel or equipment to unaffected work. Servicer may elect to allow personnel that are not able to work on a particular day because of a Weather Delay Day to be released for the day.   • Force Majeure Delays means any actual delay in the construction of the Tenant Improvements, which is beyond the reasonable control of Landlord or Tenant, as the case may be, as described in Paragraph 33 of the Lease.

  • Force Majeure Delay means with respect to the Servicer, any cause or event which is beyond the control and not due to the negligence of the Servicer, which delays, prevents or prohibits such Person’s delivery of the reports required to be delivered or the performance of any other duty or obligation of the Servicer under the Indenture, as the case may be, including, without limitation, computer, electrical and mechanical failures, acts of God or the elements and fire; provided, that no such cause or event shall be deemed to be a Force Majeure Delay unless the Servicer shall have given the Indenture Trustee written notice thereof as soon as practicable after the beginning of such delay.

Landlord will promptly perform such punch list items. Tenant shall obtain, at its sole cost and expense, any applicable use and occupancy permit for the Premises issued by the applicable Governmental Authority. If Tenant does not elect to void this Lease within 5 business days of the lapse of such 60 day period, such right to void this Lease shall be waived and this Lease shall remain in full force and effect. If neither Landlord nor Tenant elects to void this Lease within 5 business days of the lapse of such 60 day period, such right to void this Lease shall be waived and this Lease shall remain in full force and effect. Sequoia Pharmaceuticals, Inc. (“Existing Tenant”), is currently leasing the Premises from Landlord, and the lease agreement (“Existing Lease”) between Landlord and Existing Tenant is scheduled to expire on July 1, 2010 subject to Landlord’s right to advance the expiration date. Tenant understands, acknowledges, and agrees that Landlord makes no guaranty, representation, or assurance that Landlord will be able to recapture the Premises from the Existing Tenant by July 1, 2010 and that Landlord shall have no obligation or duty to seek the vacation or removal of the Existing Tenant from the Premises.

  • Generator Planned Outage means the scheduled removal from service, in whole or in part, of a generating unit for inspection, maintenance or repair with the approval of the Office of the Interconnection in accordance with the PJM Manuals.

  • Scheduled Unavailability Date has the meaning specified in Section 3.03(b).

  • Tenant Delay means an actual delay in the occurrence of the Substantial Completion Date or the Final Completion Date with respect to Landlord’s Work as the result of: (1) any unreasonable delay by Tenant in approving the Plans; (2) any request by Tenant that Landlord delay the commencement or completion of Landlord’s Work for any reason; (3) any request by Tenant to change the Plans after initial approval thereof by Tenant, or the making of any changes to Landlord’s Work requested by Tenant and agreed to by Landlord after initial approval of the Plans by Tenant; (4) any failure by Tenant to respond in writing within seven (7) business days after any written request by Landlord for clarification or interpretation of the Plans or for approval of changes in the Plans deemed necessary by Landlord; or (5) any other act or omission of Tenant or its officers, agents, employees or contractors; Notwithstanding the foregoing, no event shall be deemed to be a Tenant Delay until and unless Landlord has given Tenant written notice (the “Tenant Delay Notice”) advising Tenant (i) that a Tenant Delay is occurring, (ii) of the basis on which Landlord has determined that a Tenant Delay is occurring, and (iii) the actions which Landlord believes that Tenant must take to eliminate such Tenant Delay, and Tenant has failed to correct the Tenant Delay specified in the Tenant Delay Notice within forty-eight (48) hours following receipt thereof. No period of time prior to expiration of such 48-hour period shall be included in the period of time charged to Tenant pursuant to such Tenant Delay Notice if Tenant corrects the Tenant Delay specified in the Tenant Delay Notice within such 48-hour period.

  • Final Availability Date means the earlier of the Revolving Termination Date and one (1) Business Day prior to the date specified in clause (a) of the definition of Revolving Termination Date.

  • Availability Date means the day after the end of the fourth fiscal quarter following the fiscal quarter that includes such Effective Time on which the Company is required to file its Form 10-Q for such fiscal quarter except that, if such fourth fiscal quarter is the last quarter of the Company’s fiscal year, “Availability Date” means the day after the end of such fourth fiscal quarter on which the Company is required to file its Form 10-K.
