Xxxxxx Documents definition

Xxxxxx Documents has the meaning assigned to such term in Section 11.01(a) of this Agreement.

Xxxxxx Documents means that certain Lease and Security Agreement dated as of October 28, 1999 by and between Xxxxxx EMX, Inc. and GCX, as amended, and any documents related thereto.

Xxxxxx Documents means any licenses, approvals and other permits relating to the Xxxxxx Land, and any permits, licenses, soil tests, engineering and architectural plans, designs and specifications, insurance policies, reports, studies, surveys, contracts, warranties, guarantees, agreements and any and all other documents which Sellers or the Xxxxxx Entity may have or have the right to obtain, if reasonably available, pertaining to the Xxxxxx Land or any entitlement or development of the Xxxxxx Land.

• The Borrower has no knowledge of any default or event of default under the Xxxxxx Documents or the Textron Documents, except as disclosed to the Banks in writing, and neither Xxxxxx nor Textron has accelerated any loan obligation of the Borrower on account of any such specified default or event of default.

• Within 10 Business Days after the date hereof, Borrower shall cause Xxxxxx Financial to amend its financing agreements with Borrower’s subsidiary(ies) (the “Xxxxxx Documents”) to require Xxxxxx Financial to provide Silicon with written notice of any default under the Xxxxxx Documents, and Borrower shall provide Silicon with evidence of such amendment to the Xxxxxx Documents.

• The Xxxxxx Note is non-recourse to each of Holdings, BV Holdings and the Borrower and is payable solely out of the sale, foreclosure or other disposition of the collateral (and the proceeds thereof) pledged or otherwise assigned to the respective collateral agent pursuant to the respective Xxxxxx Documents.

• The Borrower hereby covenants and agrees that, prior to repayment in full of the Xxxxxx Facility, the Borrower will not, and will not permit any of its Subsidiaries to, create or incur or suffer to be created or incurred or to exist any lien, encumbrance, mortgage, pledge, charge, restriction or other security interest of any kind upon the Xxxxxx Receivables Collateral, other than in favor of Xxxxxx pursuant to the Xxxxxx Documents.

• On or before the Closing Date, Borrower shall deliver to Lender, evidence satisfactory to Lender, that the Xxxxxx Facility has been modified as set forth in the Term Sheet applicable to the New Inventory Loan and in a manner acceptable to Lender in its sole and absolute discretion and Lender has been provided with true, correct and complete copy of all of the executed modifications to the Xxxxxx Documents.

Xxxxxx Documents means this Agreement, the Certificate of Formation, the ---------------- Operating Agreement, the Transitional Services Agreement, the documents and instruments contemplated by Sections 2.2(a), 2.3(a) and 2.4(a) hereof and all --------------- ------ ------ other agreements and instruments required to be executed and delivered by Xxxxxx under Articles II and VI. ----------- --

Xxxxxx Documents means the Xxxxxx Guaranty Agreement, any mortgage or deed of trust which secures the Indebtedness of the Loan Parties under the Xxxxxx Guaranty Agreement, the Xxxxxx Xxxx Subordination Agreements, and any other agreements executed in connection therewith.

Xxxxxx Documents has the meaning set forth in Section 4.2 hereof.

Xxxxxx Documents means (a) the Loan and Security Agreement dated as ---------------- of March 27, 1995, by and between the Company and Xxxxxx Financial, Inc.; (b) the Promissory Note dated March 30, 1995, made by the Company and payable to the order of Xxxxxx Financial, Inc.; (c) the Deed of Trust and Security Agreement dated as of March 28, 1995, by and between the Company as grantor, Xxxxx X. Xxxxx, as trustee, and Xxxxxx Financial, Inc., as the lender, and (d) the Guaranty dated March 28, 1995, made by Holding.

Xxxxxx Documents means that certain letter agreement, dated April 11, 1997, between Xxxx Xxxxxx d/b/a Connecticut Home Theater and Borrower.

Xxxxxx Documents means the Xxxxxx Promissory Note and the Xxxxxx Collateral Documents.

Xxxxxx Documents means (a) the Loan and Security Agreement dated as of ---------------- March 27, 1995, by and between the Borrower and Xxxxxx Financial, Inc.; (b) the Promissory Note dated March 30, 1995, made by the Borrower and payable to the order of Xxxxxx Financial, Inc., in the original principal amount of $2,875,974; (c) the Deed of Trust and Security Agreement dated as of March 28, 1995, by and between the Borrower as grantor, Xxxxx X. Xxxxx, as trustee, and Xxxxxx Financial, Inc., as the lender; and (d) the Guaranty dated March 28, 1995, made by the Parent.
