Xxxxxxxx Agreements definition

Xxxxxxxx Agreements means, collectively, (i) that certain Master Administration Agreement, dated November 13, 2006, between XxXxxxxx Systems, L.L.C. and the Company and (ii) that certain Consulting Services Agreement dated March 24, 2006 between XxXxxxxx Systems, L.L.C. and the Company.

Xxxxxxxx Agreements means the Xxxxx Construction and Ownership Agreement, the Xxxxx Expansion Construction and Ownership Agreement, the Xxxxx Operation and Maintenance Agreement, the Transco Lease, the Transco MOU, the Waiver, Release and Settlement Agreement (as defined in the Purchase Agreement) and any other agreement between Transco or any of its Affiliates and the Company or any of its subsidiaries. Withdraw, Withdrawing, or Withdrawal means the withdrawal, resignation, or retirement of a Member from the Company as a Member. Such terms shall not include any Dispositions of Membership Interests (which are governed by Article 7), even though the Member making a Disposition may cease to be a Member as a result of such Disposition.

Xxxxxxxx Agreements means (i) that certain Consulting Agreement, dated December 23, 2011, by and between Timco and Xxxxxxx X. Xxxxxxxx, (ii) that certain Lease Agreement, dated December 23, 2011, by and between La Puerta Ranch Outfitters, Inc., (iii) that certain Promissory Note, dated December 23, 2011 by Timco in favor of Xxxxxxx X. Xxxxxxxx and Xxxx X. Xxxxxxxx, and (iv) that certain Pledge Agreement, dated December 23, 2011 by Timco in favor of La Puerta Ranch Outfitters, Inc.

Examples of Xxxxxxxx Agreements in a sentence

• Each Xxxxxxxx Party has the right, power and authority to execute and deliver this Agreement and all other agreements entered into in connection with this Agreement to which it is a party (collectively, the “Xxxxxxxx Agreements”), and to perform its respective obligations under the Xxxxxxxx Agreements, and to consummate the transactions contemplated by the Xxxxxxxx Agreements.

• In connection with the foregoing, PWR shall consent to a purchase and sale agreement between Seller and any other third party to whom Seller intends to sell the Excluded Portion of the DeSoto Facility; provided, that PWR shall have no obligation or cost with respect to such third party other than to perform its obligations as the owner of the DeSoto Facility in order to effectuate the transactions contemplated by the DeSoto Xxxxxxxx Agreements.

• During the Employment Period, Executive agrees that he will comply with, and will take reasonable actions that are necessary or desirable in order to comply with, his obligations under the Xxxxxxxx Agreements.

More Definitions of Xxxxxxxx Agreements

Xxxxxxxx Agreements means, singularly or collectively, as the context may require, the IEEC Guaranty, the MIAC Guaranty, the YBTC Guaranty, the York Group Guaranty, and any other Guaranty and Suretyship Agreement executed and delivered to the Agent for the ratable benefit of the Banks on or after the date hereof substantially in the form of Exhibit "E" attached hereto and made a part hereof.

Xxxxxxxx Agreements means those two certain Vessel Construction Agreements, dated May 10, 2013, between GIS and Xxxxxxxx Offshore Services, LLC for purposes of constructing multi-purpose supply vessel hull nos. 369 and 370.

Xxxxxxxx Agreements means the Shareholders' Agreement, dated as of September 22, 1998, by and among the Matsco Shareholders, the Management Agreement, dated as of September 22, 1998, by and between Matsco and Xxxxxxxx Ventures, LLC and the Securities Purchase Agreement, dated as of September 22, 1998, by and among Xxxxxx, Xxxxxxx X. Xxxxxxx, The Xxxxxxx X. Xxxxxxx Family Trust, Xxxxxxx X. Xxxxxxx, The Xxxxxxx Xxxxxxx Trust and Xxxxxxxx.

Xxxxxxxx Agreements means Supplemental Letter of Employment to Xxxxxxx Xxxxxxxx, dated June 23, 2004, between the Company and Xxxxxxx Xxxxxxxx, any amendments or supplements thereto, and any other agreement between the Company and Xxxxxxx Xxxxxxxx.

Xxxxxxxx Agreements means the letter agreement regarding “Xxxx X. Xxxxxxxx Travel Privileges,” dated March 3, 2003, between Worldspan and Northwest, and the letter agreement regarding “Xxxx X. Xxxxxxxx Travel Privileges,” dated March 3, 2003, between Worldspan and Delta.

Xxxxxxxx Agreements mean (a) the In-Situ Uranium Mining Lease, dated November 30, 2008 by and between Xxxxxx Xxxxxxxx and Xxxxx Xxxxxxxx and Xxxxxx Xxxxxxxx, Jr. Foundation, South Texas Mining Venture, L.L.P., Energy Metals Corporation (US), Uranium One Inc. and Everest Exploration, Inc., a memorandum of which was recorded in Xxxxx County, Texas as Instrument Number 2008-102588; and (b) the Uranium Mining Lease Option, dated November 30, 2008 by and between Xxxxxx Xxxxxxxx and Xxxxx Xxxxxxxx and Xxxxxx Xxxxxxxx, Jr. Foundation, South Texas Mining Venture, L.L.P., Energy Metals Corporation (US), Uranium One Inc. and Everest Exploration, Inc., a memorandum of which was recorded in Xxxxx County, Texas as Instrument Number 2008-102587.

Xxxxxxxx Agreements has the meaning set forth in Section 4.17(e).
