Common use of Supplier Clause in Contracts

Supplier. 8.3.1 agrees that title to the hardware provided to Buyer under the Order shall pass to the Buyer upon delivery; and 8.3.2 grants a world wide, royalty free, perpetual, irrevocable, non- transferable right to use, distribute and onward develop the software and any utilisation rights thereof to, Buyer (or its Affiliate) upon delivery or payment, whichever is the earlier. Supplier shall bear the risk of loss and damage to the Products until they are delivered (and off loaded) in conformity to the Order at Buyer’s destination specified in the Order. This shall not affect or waive any of Supplier’s warranties or other obligations under this Agreement or the applicable Order for, or in relation to, the Product.
