Admin Users. The Member shall on its own behalf or on the behalf of a Service Provider request for Administration System access rights for a first Admin User or a replacement Admin User in the event all registered Admin Users have been removed pursuant to clause 3.2(b)(iii) by submitting a copy of the Form for Notification of Admin User for CMS signed by its Authorised Signatory to LCH via email. LCH shall check the signed Form for Notification of Admin User for CMS received from the Member and, provided LCH accepts the Member’s request to register the Admin User, LCH shall register the Admin User to access and use the Administration System and send the relevant Access Details to the Admin User. Access to the Administration System for subsequent and additional Admin Users may be requested by an existing Admin User via the Administration System. Once registered, the Admin User can access the Administration System solely for the following purposes: To request registration of another Admin User (excluding Super Users) using the online registration form in the Administration System; To request registration of an Authorised User using the online registration form in the Administration System; or To terminate an Admin User’s right to access and use the Administration System or Authorised User’s right to access and use CMS. In the event there is only one Admin User, at least one additional Admin User must be registered before terminating the former Admin User’s right to access and use the Administration System. Save for Admin Users who are Super Users, Admin Users shall not have access to CMS.

Admin Users. 12.1. Different users of the Verbo Site will be granted different levels of access. Some users will be given Admin User status. If You have been given access to our Site as an Admin User, You will be able to create Verbo account log-ins for pupils and young persons who attend the organisation where you work, and to whom Your organisation provides SEN services. You may also be able to create account log-ins for the parents or carers of the pupils or young persons to whom Your organisation provides the SEN services. You will know which access level You have from Your user description on the Site, but the Admin User Levels are also detailed in Appendix A to this Verbo End User Licence Agreement. 12.2. In all cases, any users for whom You create Verbo log-ins, must also agree and accept the terms of this End User License Agreement. 12.3. If You are an Admin User, You must liaise with the Verbo Settingl Lead in Your organisation (or their successor) and keep a record of all other Users who You create Verbo account log-ins for. This record must be maintained and kept current, providing details of all Users who are linked to Your organisation and any who have ceased to be linked to Your organisation, (e.g. pupils and their parents or carers who change schools), whether or not those Users intend to continue accessing Verbo in a new organisation or not. 12.4. The rights granted by this clause 12 shall be subject always to the terms of this Agreement.

Force Majeure Event: any circumstance beyond a party’s reasonable control and including any act of God, industrial action, failure with the internet or Intellectual Property Rights: patents, trademarks, designs rights, trade and business names, rights in trade dress, domain names, copyrights, goodwill, the right to use and protect confidential information and know-how, database rights, and other intellectual property rights in each case whether registered or unregistered, which subsist, or will subsist, now or in the future in any part of the world. Loss: any and all liabilities, losses and damages, claims, actions, costs (including reasonable legal Charges), charges and expenses of any nature whatsoever. Personal Data: as defined in the Agreement. Project Specific IPRs: as defined in the Agreement. The parties agree that no part of Figshare (including its databases, configurations, code, instructions, technical documentation and schema) shall be deemed Project Specific IPRs. Working Days: Monday to Friday excluding public holidays in England or, in respect of maintenance and support, public holidays in the jurisdiction from which that maintenance and support is provided. In addition, cost responsibility for ongoing costs, including operation and maintenance costs associated with the Attachment Facilities, will be allocated between Developer and any third party users based upon the pro rata use of the Attachment Facilities by Connecting Transmission Owner, all third party users, and Developer, in accordance with Applicable Laws and Regulations or upon some other mutually agreed upon methodology. If the issue of such compensation or allocation cannot be resolved through such negotiations, it shall be submitted to FERC for resolution.
