Advertising Payments Clause Samples
The Advertising Payments clause defines the terms and conditions under which payments for advertising services are to be made between parties. Advertising Payments. In addition to sums that may be expended by Licensee for cooperative and other advertising of Articles, Licensee shall pay to the Company for each Annual Period an amount equal to two percent (2%) of “Net Sales” (as hereinafter defined) of Articles for such Annual Period (each, the “Advertising Minimum” for such Annual Period). The Company shall spend the amount so paid by Licensee to advertise the name and/or m▇▇▇ “B▇▇▇ ▇▇▇▇▇” (or variations thereof) in such manners as the Company determines are appropriate in its sole discretion. The Advertising Minimum hereunder shall be accounted for and paid quarterly within thirty (30) days after close of each calendar quarter during the term of this Agreement (or portion thereof in the event of prior termination for any reason).
Advertising Payments. For a period of five years following the closing of the transactions contemplated herein (the "Term") or until the earlier termination by the parties as discussed below, Musicmaker shall make annual payments of $1,000,000, payable in advance on a quarterly basis (the "Advertising Payments"), for advertising and promotion of Musicmaker and its products and related services on the ▇▇▇▇▇.▇▇▇ website and Tunes' genre-specific related websites, including but not limited to ▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇, ▇▇▇▇▇▇▇▇▇.▇▇▇ and ▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇ (the "Tunes Websites"), such advertising and promotional services to be provided to Musicmaker by Tunes at competitive market rates during the Term. Tunes shall use its best efforts at all times during the Term to encourage and direct artists, bands and independent labels seeking to sell music content on the Tunes Websites to work with and through Musicmaker as a sale and technology partner.
Advertising Payments. Advertisers shall be directed to pay to AOL all amounts generated from the sale of Advertisements by AOL or its agents during the term of this Agreement. In the event any Advertiser remits any payment for Advertisements sold by AOL directly to ICP rather than to AOL, ICP agrees to make prompt payment to AOL of all such payments. AOL will remit ICP's share of Advertising Revenues to ICP, after deducting the Commission and the Revenue Split, on a quarterly basis within sixty (60) days after the end of the quarter in which such Advertising Revenues arise. AOL is not liable to ICP for any amounts not paid by Advertisers.
Advertising Payments. Notwithstanding anything to the contrary -------------------- in Schedule 4.2, during the period between the Effective Date and September 1, 2000, [**] of the Advertising Revenue Share (as defined in Section 4.1 below) shall be paid back to AOL by ICP and shall be credited toward ICP's September 1, 2000 carriage payment, until the earlier of (a) the date on which the September 1, 2000 carriage payment has been paid in full via such Advertising Revenue Share payments back to AOL, or (b) September 1, 2000 (when ICP shall pay any remaining portion of the September 1, 2000 carriage payment to AOL).
