Appointment as Manager. (a) VYSTAR hereby engages Manager to provide management services and other assistance in accordance with the terms of this Agreement. The Manager shall and hereby agrees to devote such time as is reasonably necessary to provide such services and assistance.

Appointment as Manager. Subject to the limitations and terms and conditions of this Agreement, the Tribe, on behalf of itself and the Enterprise, hereby appoints Manager to act as the sole and exclusive manager of the Facility and the Enterprise and as the exclusive agent for the Tribe and the Enterprise for all non-governmental matters related to the management of the operations of the Facility and the Enterprise during the term of this Agreement. Until the expiration or termination of this Agreement, the Tribe, the Business Board and/or the Enterprise shall not manage the Facility or the Enterprise themselves without the services of Manager pursuant to this Agreement. Manager’s rights and responsibilities as manager of the Facility and the Enterprise shall include, among other things, maintenance and improvement of the Facility and management and operation of the Enterprise’s Commercial Activities at the Facility, on the Site and off the Site. Subject to the terms and conditions of this Agreement, Manager accepts such appointment as the Tribe’s exclusive manager of, and managerial agent for, the Facility and the Enterprise for the term of this Agreement. Subject to the provisions of this Agreement and specifically the restrictions in this Article 2 and the budget provisions in Article 5, Manager shall have, and the Tribe does hereby grant to Manager, the power and authority to act as agent for the Tribe or the Enterprise, to exercise the rights of the Tribe or the Enterprise under, and to execute, modify, or amend any contracts associated with, the operations of the Facility or the Enterprise (excluding this Agreement) in the name of the Tribe, the Enterprise or Manager, including, without limitation, purchase orders, equipment and retail leases, contracts for services, including utilities, and maintenance and repair services, relating to the operation of the Facility or the Enterprise; provided, however, that Manager shall not have the authority to execute, modify or amend real estate agreements or contracts (excluding retail leases), or compacts or other agreements with the State or any other Governmental Authorities, which agreements shall remain within the sole and exclusive authority of the Tribe; and provided, further, that in no event shall Manager execute any contracts or agreements which require payments exceeding $500,000 in the aggregate or which have a term exceeding one (1) year, or such greater dollar amount or longer term as the Business Board may establish from ...

Appointment as Manager. Subject to the terms and conditions of this Management Services Agreement, Pipeline hereby appoints ServiceCo to act as Manager hereunder, and ServiceCo hereby accepts such appointment and agrees to act pursuant to the provisions of this Management Services Agreement. The Manager shall function as an independent contractor under this Management Services Agreement, and shall in no event ever act as, or be considered to be, an employee of Pipeline.

Appointment as Manager. LACERA hereby appoints Manager as a fiduciary of LACERA and authorizes Manager to invest and manage the Managed Assets. LACERA may at any time and from time to time adjust the amount of its assets allocated to Manager by making additional contributions to or withdrawals from the Managed Assets.

Appointment as Manager. Under the Operating Agreement, PubCo will become a member and the sole manager of the Operating Company. As the sole manager, PubCo will be able to control all of the day-to-day business affairs and decision-making of the Operating Company without the approval of any other member. As such, PubCo, through its officers and directors, will be responsible for all operational and administrative decisions of the Operating Company and the day-to-day management of the Operating Company’s business. PubCo cannot, under any circumstances, be removed as the sole manager of the Operating Company except by its election.

Appointment as Manager. Upon the terms and subject to the conditions set forth in this Agreement, the Partnership hereby grants, and Manager hereby accepts, the sole and exclusive right and obligation to furnish or perform, or arrange for the furnishing or performance of, the Management Services (as defined in Section 3(a) below) during the Term (as defined in Section 5(a) below). Subject to the authority and responsibility reserved by the Partnership under Section 3, the Partnership authorizes Manager to furnish or perform, or arrange for the furnishing or performance of, the Management Services in whatever manner Manager reasonably determines is appropriate under the circumstances. The Partnership will not interfere with or prevent, or act in any way that could reasonably be foreseen to interfere with or prevent, Manager from carrying out its responsibilities under this Agreement.

Appointment as Manager. The FRBNY hereby appoints the Manager to manage, supervise, and direct the investment of a portion of the SOMA account as specified by the FRBNY (“Account”) under the terms and conditions set forth in this Agreement. By execution of this Agreement, the Manager hereby accepts the appointment and agrees to manage, supervise, and direct the investment of the Account pursuant to the provisions of this Agreement.

Appointment as Manager. A. The Company hereby appoints AGC to operate and manage the Properties, and AGC hereby accepts such appointment on the terms and conditions contained in this Agreement. AGC agrees to operate and manage on the same terms and conditions any additional properties assigned or leased to the Company or any of its Subsidiaries, which properties shall be deemed "Properties" hereunder, and to periodically amend Annex A to reflect such additional properties. B. AGC shall provide the Company with general management services at the Property level ("Property Management") so as to enable and provide for the proper and efficient management of the Properties, including the day-to-day operations of each Property, maintenance, procurement of insurance, employment and payroll-related costs at the Properties, all in an attempt to achieve the above expressed objective and desires of the Company. AGC shall also provide certain administrative services to the Company and the Properties ("AGC Services"), including any or all of the following, as required from time to time: financial reporting, accounting, assisting in negotiating and arranging debt financing on behalf of the Company, data processing, tax, accounting, marketing, regional operating oversight and support, legal, treasury, credit, office services, human resources, environmental services, and management of the Company and coordination of its activities under this Agreement with those of the Properties and administration of the Company's contracts related to the Properties. Other services may be mutually agreed upon by the parties. C. AGC shall maintain each Property and every part thereof in a good and sanitary order, condition and repair. In exercising its management responsibilities, AGC shall use its best efforts not to permit any material waste to be committed on the Properties. The quality of the services and programs implemented by AGC on a Property will be commensurate with the fees charged to patrons of that Property and comparable to similarly developed golf courses in the general geographic area such Property is located in. AGC does not give any general or specific guarantee as to the profitability of the Properties, the attendance at the Properties or the revenues derived therefrom. D. AGC shall receive a reimbursement (the "Reimbursement") from the Company for (i) all of its out-of-pocket Property Management costs at the Property level, as calculated by AGC, in addition to (ii) all of its out-of-pocket cos...

Appointment as Manager. The Company appoints and authorizes the Manager during the Term of this Agreement to provide the day-to-day management and administration of the Company and the day-to-day carrying on of the Company Business, including: (a) acting as Principal Representative of the Company in accordance with the provisions of the Insurance Xxx 0000 and regulations promulgated thereunder; (b) maintaining a principal office in Bermuda on behalf of the Company; (c) preparing the Annual Business Plan, incorporating investment elements from the Investment Manager, for presentation and approval by the Board of Directors of the Company; (d) sourcing appropriate Insurance and Reinsurance Contracts in accordance with the Annual Business Plan for the Company to undertake; (e) providing all necessary financial, underwriting and actuarial analysis of any potential Insurance and Reinsurance Contracts; (f) maintaining and servicing Insurance and Reinsurance Contracts related to the Company’s Business, including issuing, countersigning, endorsing, and terminating or canceling such contracts and issuing notices of cancellation under such contracts; (g) investigating, adjusting and settling claims under Insurance and Reinsurance Contracts entered into by the Company, including defending losses under such contracts and negotiating and executing commutations of Insurance and Reinsurance Contracts entered into by the Company;
